Training and Assistance. A. TRAINING BY THE COMPANY The COMPANY shall provide, and FRANCHISEE (or if FRANCHISEE is a partnership or corporation, a managing partner or officer who shall have been approved by the COMPANY) and any proposed managers of the Restaurant shall complete, an initial training program on the operation of a Floridino's Restaurant at such places and times as the COMPANY may designate. The initial training program shall consist of at least twenty (20) days of training covering such topics and using such instructional methods as the COMPANY, in its sole discretion, shall determine to be appropriate. If, during the initial training program, the COMPANY determines, in its sole discretion, that any proposed manager of the Restaurant is not qualified to manage the Restaurant, the COMPANY shall notify FRANCHISEE thereof and FRANCHISEE may select a substitute manager for attendance at such training program. If, during the initial training program, the COMPANY determines, in its sole discretion, that FRANCHISEE (or if FRANCHISEE is a partnership or corporation, its managing partner or officer) is not qualified to operate the Restaurant, the COMPANY shall have the right to terminate the Franchise, effective upon delivery of written notice thereof to FRANCHISEE. Upon such termination, the COMPANY shall promptly refund (without interest) the franchise fee paid pursuant to Paragraph A of Section 8 hereof, and FRANCHISEE shall accept such refund as its only remedy with respect thereto. The COMPANY shall have the right to require that FRANCHISEE (or if FRANCHISEE is a partnership or corporation, its managing partner or officer) and all managers of the Restaurant complete supplemental and refresher training programs during the term of the Franchise, to be provided at such places and times as the COMPANY may designate. The COMPANY shall have the right to assess FRANCHISEE reasonable charges for such training programs. FRANCHISEE shall be solely responsible for all travel, lodging, and living expenses incurred in connection with the attendance by FRANCHISEE (or if FRANCHISEE is a partnership or corporation, its managing partner or officer) and all managers of the Restaurant at the initial training program and any supplemental or refresher training programs.
Training and Assistance. Make ETW's Account Executive at SportsLine available to educate and train Woods and other ETW representatives with respect to the functionali▇▇ ▇▇ the SportsLine Service and be available to assist them, at their request, should they require any assistance regarding the use of the computers described above in connection with this Agreement;
Training and Assistance. In order to assist SSG in its evaluation ----------------------- and/or use of InterTrust Technology products, the InterTrust Dedicated Personnel (as defined in Section 3.3(d)) shall provide to SSG account management, at no further cost to SSG and subject to applicable terms and conditions of this Agreement, training, consulting, relationship assistance, project management, and other assistance directly related thereto ("Assistance") [*]. Such Dedicated Personnel shall provide up to ---------- two thousand (2,000) hours per annum of such Assistance, as described in Section 3.3(d) hereof, so long as SSG is entitled to favorable treatment under this Article 3. InterTrust shall further provide, as may be requested by SSG, up to one hundred (100) hours of Assistance by persons other than the Dedicated Personnel for general training and support purposes. All such Assistance will be measured based upon InterTrust's man-hours expended (excluding time expended to travel or perform administrative tasks related to the relationship), and shall be subject to reasonable agreement between the Parties on scheduling, availability of resources and related matters. As appropriate, such Assistance may include certain training sessions to which certain other InterTrust licensees (in addition to SSG) may be invited to attend. In such an event, InterTrust will notify SSG in advance of such other participants. SSG shall be responsible for all expenses incurred by SSG's personnel in traveling to and attending any training and support meetings. In the event InterTrust's personnel travel from InterTrust's facilities (upon InterTrust's and SSG's mutual agreement), SSG shall reimburse InterTrust for all actual and reasonable travel, living and out-of-pocket expenses incurred by InterTrust's personnel based on SSG's standard policies and procedures for reimbursement of its independent contractors and its own employees.
Training and Assistance. KDHE-DHCF will provide initial and ongoing training and technical assistance to the Entity, including responding to the Entity’s questions regarding the appropriate policies and procedures to use when conducting presumptive eligibility determinations. Follow-up training will be provided to the Entity at periodic intervals, when significant policy changes occur, or when requested by the Entity. KDHE-DHCF will provide a Presumptive Eligibility Manual which shall include the presumptive eligibility policies and procedures along with all necessary forms for conducting presumptive eligibility determinations.
Training and Assistance. SpectraSCIENCE shall provide initial sales and annual service training to DISTRIBUTOR's personnel necessary for the marketing and servicing of the Products, as further described in Schedule 1. Training or support other than or in excess of that provided for above shall be at SpectraSCIENCE's then current rates, plus reimbursement for reasonable expenses of travel, meals, and lodging. The foregoing notwithstanding, SpectraSCIENCE shall provide reasonable sales assistance to DISTRIBUTOR at no charge, provided, however, that: (i) DISTRIBUTOR shall reimburse SpectraSCIENCE for reasonable expenses of travel, meals, and lodging incurred in providing such assistance (SpectraSCIENCE may waive such reimbursement in its sole discretion); (ii) the parties acknowledge and agree that such assistance shall generally be limited to sales of more than one console to a customer.

Training and Assistance. A Franchisor shall make training available to Franchisee and its manager, who shall successfully complete each required training and familiarization course conducted. Initial training shall cover aspects of the operation of a Franchised Business, and shall be conducted in three (3) phases ("Phase[s] I - III"): Phase I This Phase is a self-study course lasting several days depending upon Franchisee's technical background and time spent each day reviewing the materials. Franchisee must pass a proficiency examination over the Internet via an online tutorial program to successfully complete Phase I.
Training and Assistance. A. Prior to the opening for business of the Franchised Facility, Franchisee's employees performing the following functions: General Manager, Assistant General Manager, Fuel Manager, Assistant Fuel Manager, Restaurant Manager, Assistant Restaurant Manager, Retail Store Manager, Assistant Retail Store Manager, Truck Repair Shop Manager and Assistant Truck Repair Shop Manager (and such other functions which TA may from time to time designate), shall successfully complete training for such positions, which training shall be provided by TA in accordance with the Confidential Operations Manual and this Franchise Agreement. TA shall not charge a training fee for the initial employee to hold each of the above-listed job functions, but Franchisee shall be responsible for all expenses incurred by such individuals in attending such training, including, without limitation, travel and living expenses.
B. Unless waived in writing by TA, whenever an untrained person subsequently assumes a position for which TA requires training, Franchisee shall notify TA within three (3) days of the identity of the untrained personnel, and such personnel shall attend and successfully complete the next training program to be offered by TA, for which space is available. Training of such personnel shall be at Franchisee's sole expense, including, without limitation, payment of TA's then-current training fee.
C. If TA, in its sole discretion, determines that Franchisee, or any employee holding a position for which TA requires training, has been unable to complete the required training program satisfactorily, TA shall have the right to terminate this Franchise Agreement. If this Franchise Agreement is terminated pursuant to this Paragraph, TA shall return to Franchisee the franchise fees paid by Franchisee to TA, minus the expenses incurred by TA as of such date.
D. During the initial three (3) months of operation of Franchised Facility, TA will furnish to Franchisee, at the Franchised Facility and at TA's expense, the assistance of one of TA's representatives for up to thirty (30) working days. If Franchisee requests additional assistance in order to facilitate the opening of the Franchised Facility or, if TA determines additional assistance is needed, TA may provide such additional assistance at Franchisee's expense. Additionally, TA will provide ongoing assistance as described in Section XIII.
E. TA may require previously trained and experienced Franchisees or their managers or employees ...
Training and Assistance. 11.1 Prior to opening of the USWEB Business to be conducted pursuant to this Agreement, Affiliate, or Affiliate's designated manager, shall attend and successfully complete to USWEB's satisfaction, an Initial Training Course of not more than four (4) days duration, to be conducted at a location designated by USWEB. Two additional employees of Affiliate may attend the initial training course without additional charge. The Initial Training Course shall cover all material aspects of the operation of a USWEB Business.
11.2 USWEB may offer, from time to time, training programs for previously trained and experienced Affiliate personnel, to be conducted at such place as USWEB shall designate. The content and duration of such training shall be in USWEB's sole discretion. USWEB may charge a reasonable fee for such additional courses.
11.3 USWEB may provide additional optional training and assistance, including on-location training and assistance, at Affiliate's request. The content and duration of such training and assistance shall be in USWEB's sole discretion and Affiliate may be required to pay per diem costs and expenses for such training and assistance, as set forth in the Operations Manual.
11.4 Affiliate, and key Affiliate personnel as may be designated by USWEB, shall attend the USWEB Annual Conference as mandatory annual training, in order to remain current and informed about developments in the USWEB System including, but not limited to, methods of operations, products and services, marketing strategies, advertising campaigns and programs, and other matters of topical interest. Affiliate may be required, from time to time, to pay registration fees to attend the Annual Conference.
11.5 All expenses incurred by Affiliate and its employees in attending all USWEB training programs, including the initial training course, any optional training, and the mandatory USWEB Annual Conference, including, without limitation, travel, room and board, and employee compensation, shall be the sole responsibility of Affiliate.
Training and Assistance. A. Franchisor shall make training available to Franchisee and Franchisee's designated manager. Franchisee and Franchisee's designated manager shall attend and successfully complete the initial training program which shall last a minimum of 7 days (and a maximum of 10 days) to be conducted at Franchisor's headquarters, a SUCCESSORIES unit or at such other place as Franchisor shall designate. There are two phases to the initial training program which may or may not be held together. Phase one involves sales and product knowledge and phase two involves store operation. The initial training program shall cover all material aspects of the operation of a SUCCESSORIES franchise, including: an understanding of SUCCESSORIES conceptual plans; financial controls; promotion and merchandising, methods, techniques and procedures; buying procedures; other retail facility management and operational techniques; marketing and advertising techniques; deployment of labor; and maintenance of quality standards. All expenses incurred by Franchisee and its employees in attending such program, including, without limitation, travel costs, room and board expenses, and employees' salaries shall be the sole responsibility of Franchisee.
B. For a minimum of 5 (and a maximum of 10 days) prior to the commencement of operation or during the first month of operation of Franchisee's Franchised Retail Business, Franchisor will furnish to Franchisee, at Franchisee's premises and at Franchisor's expense, 1 of Franchisor's representatives for the purpose of facilitating the opening of Franchisee's Franchised Retail Business. During this period, such representative will also assist Franchisee in establishing and standardizing procedures and techniques essential to the operation of a SUCCESSORIES facility and shall assist in training personnel. Should Franchisee request additional assistance from Franchisor in order to facilitate the opening of the Franchised Retail Business, and should Franchisor deem it necessary and appropriate, Franchisee shall reimburse Franchisor for the expense of Franchisor providing such additional assistance.
C. If Franchisor determines, in its sole discretion, that Franchisee is unable to satisfactorily complete the initial training program, Franchisor shall have the right to terminate this Agreement in the manner herein provided.
