Ongoing Filings. The Debtor hereby authorizes the Secured Party to file such financing statements, financing change statements and other documents and do such acts, matters and things (including completing and adding schedules hereto identifying the Collateral or any permitted encumbrances affecting the Collateral or identifying the locations at which the Debtor's business is carried on and the Collateral and records relating thereto) as the Secured Party may deem appropriate to perfect on an ongoing basis and continue the Security Interest, to protect and preserve the Collateral and to realize upon the Security Interest. The Debtor hereby acknowledges receipt of a copy of this Agreement and waives all right to receive from the Secured Party a copy of any financing statement, financing change statement or verification statement filed at any time in respect of this Agreement.
Ongoing Filings. 1. Assist in preparing and filing Statement of Officer with the California Secretary of State (biennial filing).
2. Determine if annual filing with the California Attorney General on Form RRF-1 is required and, if so, review and assist in filing.
3. Review Forms 990 to be filed with the IRS to the extent required.
4. Determine if any annual returns are required with the FTB and, if so, review and assist with filing.
