Common use of Operation and Maintenance of Property Clause in Contracts

Operation and Maintenance of Property. Each Borrower will, and will cause each other Credit Party to, operate its Properties or cause its Properties to be operated and maintained (a) in accordance with prudent industry practice in all material respects and in compliance in all material respects with the terms and provisions of all applicable leases, contracts and agreements and (b) in compliance with all applicable laws of the jurisdiction in which such Properties may be situated, and all applicable laws, rules and regulations of every other Governmental Authority from time to time constituted to regulate the ownership and operation of such Properties, except where the noncompliance therewith could not reasonably be expected to cause or result in a Material Adverse Effect.
