Operation of this document. (a) This document contains the entire agreement between the parties about its subject matter. Any previous understanding, agreement, representation or warranty relating to that subject matter is replaced by this document and has no further effect.

(c) Where any party has any obligation to pay any monies under this document or the Buy Back Agreement, it will be entitled to set-off against that obligation (and seek a reduction in the amount to be paid) the amount of any judgment debt (i.e. ordered by a court of competent jurisdiction), obtained by such party against the other party for a breach by the other party of any of its obligations under this document or the Buy Back Agreement.
Operation of this document. (a) Notwithstanding anything to the contrary in this Agreement (including this clause 12.6) or the Partnership Agreement or any other agreement entered into pursuant to, or in furtherance of, this Agreement or the Partnership Agreement:
(i) if there is any inconsistency between the provisions of this Agreement and the provisions of the Charter, in particular sections 9 and 10 of the Charter, the provisions of the Charter will prevail, to the extent of the inconsistency, and the provisions of this Agreement will be construed accordingly; and
(ii) while the Charter remains in force, clause 3 of this Agreement has no further force or effect, except to the extent:
a. of Dividends declared or paid, under or in relation to clause 3, prior to 1 November 2016; or
b. otherwise agreed by the parties from time to time in writing on or after 1 November 2016.
Operation of this document. (a) Subject to any contrary provision contained in any Transaction Document, this Agreement contains the entire agreement between the parties about its subject matter. The parties agree that no understanding, agreement (collateral or otherwise), representation or warranty, whether arising before or after the date of this Agreement, will have any force or effect in respect of the parties' rights and obligations under this Agreement or any Transaction Document.
(b) Any provision of this Agreement which is unenforceable or partly unenforceable is, where possible, to be severed to the extent necessary to make this Agreement enforceable, unless this would materially change the intended effect of this Agreement.
Operation of this document. (a) This agreement applies to the Development Works, whether any of the Development Works are undertaken before, on or after the Commencement Date.
(b) This agreement contains the entire agreement between the parties regarding the Development Works to be undertaken for the Development. Any previous understanding, agreement, representation or warranty relating to the Development Works is replaced by this agreement and has no further effect.
(c) Any right that a person may have under this agreement is in addition to, and does not replace or limit, any other right that the person may have.
(d) If any provision of this agreement is unenforceable or partly unenforceable, that provision is:
(i) where possible, to have no effect to the extent necessary to make this agreement enforceable; unless
(ii) this would materially change the intended effect of this agreement, in which case that entire provision has no effect.
Operation of this document. (a) This document and the Confidentiality Deed contains the entire agreement between the parties about its subject matter. Other than the subject matter of the Confidentiality Deed, any other previous understanding, document, representation or warranty relating to that subject matter is replaced by this document and has no further effect.
(b) Any provision of this document which is unenforceable or partly unenforceable is, where possible, to be severed to the extent necessary to make this document enforceable, unless this would materially change the intended effect of this document.
