Operational Licenses. Purchaser shall have obtained all permits, licenses, approvals and Authorizations necessary or desirable to operate the Hotel and all restaurants, bars and lounges presently located in the Hotel, including, without limitation, liquor licenses or alcoholic beverage licenses. To that end, the Seller and the Purchaser shall have cooperated with each other, and each shall have executed such transfer forms, license applications and other documents as may be necessary or desirable for Purchaser to obtain such permits, licenses, approvals and Authorizations.

Operational Licenses. During the Review Period AEGIS shall have obtained, or determined that it will be able to obtain all permits, licenses, approvals and other authorizations necessary or desirable to operate the Property. To that end, during the Review Period, the Managing Members and AEGIS shall cooperate with each other, and each shall execute such transfer forms, license applications and other documents as may be necessary or desirable for AEGIS or its designees to obtain such permits, licenses, approvals and other authorizations.
Operational Licenses. Section 4.14 of the Disclosure Schedule lists all permits, government approvals, licenses, clearances and Consents necessary for the conduct of the Business. Seller currently holds and has provided to Purchaser true and complete copies of all such permits, government approvals, licenses, clearances and Consents.

Operational Licenses. Buyer acknowledges that there may be various licenses (including liquor, hotel, and food licenses) associated with the operation of the Hotel. Buyer (or its designee) shall diligently pursue the obtaining of all required governmental authorities, for the issuance of such licenses (the “Required Licenses“) as are necessary for the continued operation of the Hotel at Buyer’s sole cost and expense or an alternative structure as shall permit Buyer (or its designee) to operate the Hotel (and the food and liquor businesses) after the Closing. Buyer shall not impair any existing licenses or take any action to prevent the existing licenses for the Hotel from remaining in full force and effect prior to the Closing. Buyer acknowledges that it is Buyer’s sole responsibility to ensure that it (or its designee) is able to operate the Hotel after the Closing.
Operational Licenses. Prior to the date hereof, Purchaser shall have obtained, or determined that it will be able to obtain or retain, all permits, licenses, approvals and other authorizations necessary or desirable to operate the Hotel and all restaurants, bars and lounges presently located in the Hotel, including, without limitation, the Stipulated License and the timely transfer of the ABC License and such other licenses as shall be necessary for the continued on-premises sale and service of alcoholic beverages at the Hotel. To that end, subject to Section 10 hereof, Seller shall reasonably cooperate with Purchaser, at Purchaser’s cost and expense, and Seller shall execute such transfer forms, license applications and other documents customarily required in such jurisdiction for Purchaser or its designees to obtain such permits, licenses, approvals and other authorizations.
