Opinion of Bermuda Counsel for the Company. On each of the First Closing Date and each Option Closing Date, the Representative shall have received the opinion of Xxxxxxx Xxxx & Xxxxxxx Limited, counsel for the Company with respect to the laws of Bermuda, dated as of such date, in the form and substance previously agreed to by, and satisfactory to, the Representative.
Opinion of Bermuda Counsel for the Company. Xxx Xxxxxxx Xxxxxxxxx Limited, Bermuda counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Representatives, on behalf of the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex A-2 hereto.
Opinion of Bermuda Counsel for the Company. At Closing Time, the Lead Managers shall have received the favorable opinion, dated as of Closing Time, of Conyxxx Xxxl & Xearxxx, Xxrmuda counsel for the Company, in form and substance satisfactory to counsel for the International Managers, together with signed or reproduced copies of such letter for each of the other International Managers to the effect set forth in Exhibit A-2 hereto.
Opinion of Bermuda Counsel for the Company. The favorable opinion of Xxxxxxx, Xxxxxxxx & Xxxxx, Bermuda counsel to the Company, in form and substance satisfactory to counsel for the International Managers, dated such Date of Delivery, relating to the International Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required in Section 5(d) hereof.
Opinion of Bermuda Counsel for the Company. On the Closing Date, the Placement Agent and the Purchaser shall have received the favorable opinion, dated as of the Closing Date, of Conyers Dill & Pearman, special Bermuda counsel for the Company, in xxxxxxxtxxxxy txx xxxx set out in Annex B hereto, in form and substance reasonably satisfactory to counsel for the Placement Agent. Such counsel may state that, insofar as such opinion involves factual matters, they have relied, to the extent they deem proper, upon certificates of officers of the Company or any of its subsidiaries and public officials.
