Opinion of Canadian Counsel for the Company. The Representative shall have received on the Closing Date the favorable opinion of Xxxxxxxxx Dellelce LLP, Canadian counsel to the Company, dated as of such Closing Date, including, without limitation, a customary negative assurance letter, addressed to the Representative in customary form reasonably satisfactory to the Representative.
Opinion of Canadian Counsel for the Company. On each of the First Closing Date and each Option Closing Date the Representatives shall have received the opinion of Stikeman Elliott, LLP, Canadian counsel for the Company, dated as of such date, in the form attached hereto as Exhibit E and to such further effect as the Representatives shall reasonably request.
Opinion of Canadian Counsel for the Company. On each of the First Closing Date and each Option Closing Date the Representatives shall have received the opinion of XxXxxxxx Xxxxxxxx LLP, Canadian counsel for the Company, dated as of such date and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives.
Opinion of Canadian Counsel for the Company. On each of the First Closing Date and each Option Closing Date the Underwriters shall have received an opinion of Torys LLP, as Canadian counsel for the Company, addressed to the Underwriters, and dated the First Closing Date and each Option Closing Date, in such form and substance as may be reasonably satisfactory to counsel for the Underwriters.
Opinion of Canadian Counsel for the Company. Xxxxxxx Xxxxx & Xxxxxxxxx LLP, Canadian counsel for the Company, and other local counsel as applicable, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives.
Opinion of Canadian Counsel for the Company. At the Closing Date, you shall have received the opinion of Sangra Moller LLP, Canadian counsel for the Company, dated the Closing Date, addressed to the Initial Purchasers and in substantially the form attached hereto as Exhibit B-2. In giving such opinion, counsel may state that, insofar as such opinion involves factual matters, they have relied upon certificates of officers of the Company and certificates of public officials.
Opinion of Canadian Counsel for the Company. Lang Mxxxxxxx LLP, Canadian counsel for the Company, shall have furnished to the Representative their written opinion, dated the Closing Date and addressed to the Underwriters, with respect to the laws of the Province of British Columbia and the federal laws of Canada applicable therein, in form and substance reasonably satisfactory to the Representative, to the effect set forth in Annex C hereto.
Opinion of Canadian Counsel for the Company. The Underwriters shall have received the favorable opinion dated as of the Closing Date, of Macleod Dixon LLP, Canadian counsel for the Company, in xxxx xxx xxbstance satisfactory to counsel for the Underwriters, to the effect set forth in Exhibit A hereto.
Opinion of Canadian Counsel for the Company.
