Opinion of Counsel for the Purchaser. The Purchaser shall cause to be delivered to the Vendor and the Corporation at the Closing Time an opinion dated the Closing Date, from counsel for the Purchaser in the form annexed hereto as SCHEDULE 8.5(c). The Purchaser further covenants to cause to be delivered to the Vendor with the IBC Shares, when issued in accordance with the terms of this Agreement, an opinion from US counsel to the Purchaser concerning compliance with applicable US laws.

Opinion of Counsel for the Purchaser. On the Closing Date, the Purchaser shall have received the favorable opinion of Shearman & Sterling, counsel for the Purchaser, dated as of such Closing Date, with respect to such matters as may be reasonably requested by the Purchaser.
