Opinion of Counsel for the Purchaser. The Purchaser shall cause to be delivered to the Vendor and the Corporation at the Closing Time an opinion dated the Closing Date, from counsel for the Purchaser in the form annexed hereto as SCHEDULE 8.5(c). The Purchaser further covenants to cause to be delivered to the Vendor with the IBC Shares, when issued in accordance with the terms of this Agreement, an opinion from US counsel to the Purchaser concerning compliance with applicable US laws.
Opinion of Counsel for the Purchaser. On the Closing Date, the Purchaser shall have received the favorable opinion of Shearman & Sterling, counsel for the Purchaser, dated as of such Closing Date, with respect to such matters as may be reasonably requested by the Purchaser.
Opinion of Counsel for the Purchaser. The Purchaser shall deliver the favorable opinion of its legal counsel dated as of the Closing Date, substantially in the form and to the effect set forth in Exhibit 7.5.3.
Opinion of Counsel for the Purchaser. Sellers shall have received an opinion of Butzel Long, counsel for the Purchaser, dated the Closing Date, in the form and to the effect set forth in Exhibit G annexed hereto.
Opinion of Counsel for the Purchaser. At Closing Time, the Purchaser shall have received the favorable opinion, dated as of Closing Time, of Browx & Xood XXX, counsel for Purchaser, in form and substance satisfactory to the Purchaser. In giving such opinion, counsel may rely, as to all matters governed by laws other than the law of the State of New York, the General Corporation Law of the State of Delaware and the federal law of the United States, upon the opinions of counsel satisfactory to the Purchaser. Such counsel may also state that, insofar as such opinion involves factual matters, they have relied, to the extent they deem proper, upon certificates of public officials.
Opinion of Counsel for the Purchaser. The Vendor shall have received an opinion dated the Closing Date from counsel to the Purchaser with respect to the Purchaser on terms and conditions satisfactory to counsel for the Vendor.
Opinion of Counsel for the Purchaser. The Seller and DSI shall have received from Xxxxx Xxxx & Xxxxxxxxx, counsel for the Purchaser, an opinion, dated the Closing Date (as hereinafter defined), in the form attached hereto as Exhibit 2.
Opinion of Counsel for the Purchaser. At Closing Time, the Purchaser shall have received the favorable opinion, dated as of Closing Time, of Andrews Kurth LLP, counsel for the Purchaser, with respect to txx xxxxxxx xs the Purchaser may reasonably request. In giving such opinion such counsel may rely, as to all matters governed by the laws of jurisdictions other than the law of the State of New York and the federal law of the United States, upon the opinions of counsel satisfactory to the Purchaser, including counsel of the Company. Such counsel may also state that, insofar as such opinion involves factual matters, they have relied, to the extent they deem proper, upon certificates of officers of the Company and certificates of public officials.
Opinion of Counsel for the Purchaser. The Company shall ------------------------------------ have received from Xxxxxxxx Kill Xxxxx & Xxxxxxxx, P.C. or other counsel for the Purchaser satisfactory to the Company an opinion, dated the Closing Date, in substantially the form set forth in Schedule 7.3 hereto.
Opinion of Counsel for the Purchaser. The Purchaser shall have delivered to the Seller and KDI D/H, at the Closing, the opinion of counsel for the Purchaser in substantially the form attached hereto as EXHIBIT 10.5.
