Opinion of German Counsel for the Company. Xxxxxx Xxxxxxx Partnerschaftsgesellschaft mbB shall have furnished to the Representatives such counsel’s written opinion, as German counsel to the Company, addressed to the Underwriters and dated such Closing Date, in form and substance reasonably satisfactory to the Representatives.
Opinion of German Counsel for the Company. At Closing Time, the Lead Managers shall have received the favorable opinion, dated as of Closing Time, of Bruckhaus Xxxxxxxx Xxxxxxxxx, special German counsel for the Company, in form and substance satisfactory to counsel for the International Managers, together with signed or reproduced copies of such letter for each of the other International Managers to the effect set forth in Exhibit B hereto and to such further effect as counsel to the International Managers may reasonably request, with respect to each direct or indirect subsidiary of the Company or Xxxxxxx organized under the laws of Germany.
Opinion of German Counsel for the Company. On each of the First Closing Date and each Option Closing Date the Representatives shall have received the opinion of CMS Xxxxxx Xxxxx Partnerschaft von Rechtsanwälten und Steuerberatern mbB, German counsel for the Company, dated as of such date, in form and substance reasonably satisfactory to the Underwriters.
Opinion of German Counsel for the Company. Salans FMC SNR Dxxxxx Europe LLP (“Dentons Europe”), German counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives and previously agreed upon by counsel for the Underwriters and Dentons Europe.
Opinion of German Counsel for the Company. Freshfields Bruckhaus Xxxxxxxx LLP, German counsel for the Company, shall have furnished to the Dealer Managers and the Subscription Agents, at the request of the Company, their written opinion, dated the Representation Date, the Expiration Date and the Closing Date, as the case may be, and addressed to the Dealer Managers and the Subscription Agents, in form and substance reasonably satisfactory to the Dealer Managers and the Subscription Agents, to the effect set forth in Annex D hereto; provided, that in lieu of such opinions to be delivered on the Expiration Date and the Closing Date, counsel may furnish the Dealer Managers and the Subscription Agents with a letter to the effect that the Dealer Managers and the Subscription Agents may rely on the opinion delivered on the Representation Date to the same extent as if it were dated the date of such letter.
Opinion of German Counsel for the Company. On each of the First Closing Date and the Second Closing Date the Representative shall have received the favorable opinion of Hale and Dorr LLP, special German counsel for the Company, datxx xs of xxxx Closing Date, the form of which is attached as Exhibit B (and the Representative shall have received an additional four conformed copies of such counsel's legal opinion for each of the several Underwriters).
