Opinion of Special Counsel for the Company. Vxxxxx & Exxxxx, special counsel for the Company, shall have furnished to the Representative, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representative, to the effect set forth in Annex A hereto.
Opinion of Special Counsel for the Company. Manatt, Xxxxxx & Xxxxxxxx, LLP, special regulatory counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex B hereto.
Opinion of Special Counsel for the Company. On the Closing Date the Underwriters shall have received the favorable opinion of Xxxxx Xxxxx LLP, special New York counsel for the Company, dated as of the Closing Date, the form of which is attached hereto as Exhibit B.
Opinion of Special Counsel for the Company. The Representatives shall have received an opinion or opinions, dated the Time of Delivery for the Designated Securities, of Baker, Donelson, Bearman & Caldxxxx, xxunsel for the Company, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such opinions for each of the other Underwriters, collectively to the effect set forth in Exhibit A hereto. In giving such opinion such counsel may rely, as to all matters governed by the laws of jurisdictions other than the law of the State of New York, the federal law of the United States, and the Business Corporation Act of the State of Tennessee, upon the opinions of counsel satisfactory to the Representatives. Such counsel may also state that, insofar as such opinion involves factual matters, they have relied, to the extent they deem proper, upon certificates of officers of the Company and its subsidiaries and certificates of public officials.
Opinion of Special Counsel for the Company. On the Closing Date the Initial Purchasers shall have received the favorable opinion and letter of Xxxxxx, Xxxx & Xxxxxxxx LLP, special counsel for the Company, each dated as of such Closing Date, substantially in the forms attached as Exhibit A-2.
Opinion of Special Counsel for the Company. The Underwriter shall have received the legal opinion in English, substantially in the form of Exhibit D hereto, dated as of each Closing Date, of: (i) [ ], in-house Brazilian counsel to the Company, (ii) Marval, X’Xxxxxxx & Mairal, special Argentine counsel to the Company, and (iii) Elvinger, Hoss & Prussen, special Luxembourg counsel to the Company.

At Closing Time, the Underwriter shall have received the favorable opinion, dated as of Closing Time, of Xxxxxxxx Chance US LLP, special counsel for the Company, in form and substance satisfactory to counsel for the Underwriter, to the effect set forth in Exhibit A hereto and to such further effect as counsel to the Underwriter may reasonably request.

At the Closing Time, the Representative shall have received the favorable opinion, dated as of the Closing Time, of Xxxxxxxx Chance US LLP, special counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters, to the effect set forth in Exhibit A hereto and to such further effect as counsel to the Underwriters may reasonably request.

On the date hereof, on the Offering Date and at Closing Time, the Underwriter shall have received the favorable opinion, dated as of the date hereof, the Offering Date or Closing Time, as applicable, of Xxxxxxxx Chance US LLP, special counsel for the Company, in form and substance satisfactory to counsel for the Underwriter, to the effect set forth in Exhibit A hereto and to such further effect as counsel to the Underwriter may reasonably request.
