OPINION OF THE AUDIT COMMITTEE. Pursuant to Rule 917(4)(a)(ii) and Rule 921 of the Listing Manual, the audit committee of the Company will obtain an opinion from an independent financial advisor, on whether or not the Proposed Disposal is: (a) on normal commercial terms; and (b) prejudicial to the interests of the Company and its minority shareholders. The audit committee will form its views on the Proposed Disposal after taking into account the opinion of the IFA.

OPINION OF THE AUDIT COMMITTEE. The Audit Committee of the Company, comprising Xx Xxxxxx Xxx @ Xxx Xx Ke, Xx Xxxx Xxxx Xxxx, and Mr Xxxxx Xxx have reviewed the terms and rationale of the Charter Agreement together with the Valuation Report, and is of the view that the Charter Agreement is concluded upon normal commercial terms and will not be prejudicial to the interests of the Company and its minority shareholders.
OPINION OF THE AUDIT COMMITTEE. After taking into consideration the reports of HVS and Christie & Co and the rationale for the AMLAs and RBAs respectively as set forth above, the Audit Committee is of the view that the AMLAs and RBAs respectively are on normal commercial terms and are not prejudicial to the interests of ART and its minority Stapled Securityholders.
OPINION OF THE AUDIT COMMITTEE. After taking into consideration the Independent Consultant Report and the rationale for the Renewed Master Xxxxx as set out above, the Audit Committee of the Manager is of the view that the Renewed Master Lease is on normal commercial terms and is not prejudicial to the interests of ART and its minority stapled securityholders.

  • Audit Committee (A) The Audit Committee shall be composed of five members who shall be selected by the Board of Directors from its own members, none of whom shall be an officer of the Company, and shall hold office at the pleasure of the Board. (B) The Audit Committee shall have general supervision over the Audit Division in all matters however subject to the approval of the Board of Directors; it shall consider all matters brought to its attention by the officer in charge of the Audit Division, review all reports of examination of the Company made by any governmental agency or such independent auditor employed for that purpose, and make such recommendations to the Board of Directors with respect thereto or with respect to any other matters pertaining to auditing the Company as it shall deem desirable. (C) The Audit Committee shall meet whenever and wherever the majority of its members shall deem it to be proper for the transaction of its business, and a majority of its Committee shall constitute a quorum.

  • Responsibility of Dual Directors, Officers and/or Employees If any person who is a director, officer or employee of the Adviser is or becomes a Trustee, officer and/or employee of the Fund and acts as such in any business of the Fund pursuant to this Agreement, then such director, officer and/or employee of the Adviser shall be deemed to be acting in such capacity solely for the Fund, and not as a director, officer or employee of the Adviser or under the control or direction of the Adviser, although paid by the Adviser.

  • Recognition of Union Stewards and Grievance Committee In order to provide an orderly and speedy procedure for the settling of grievances, the Employer acknowledges the rights and duties of the Union Stewards. The Xxxxxxx shall assist any Employee, which the Xxxxxxx represents, in preparing and presenting her grievance in accordance with the grievance procedure.

  • Board of Directors; Officers The Board of Directors and officers of Sub immediately prior to the Effective Time shall be the Board of Directors and officers, respectively, of the Surviving Corporation, until the earlier of their respective resignations or the time that their respective successors are duly elected or appointed and qualified.

  • Parent Board of Directors The Board of Directors of Parent will take all actions necessary such that two members of Company's Board of Directors reasonably acceptable to Parent, at least one of whom is an independent director of the Company's Board of Directors, shall be appointed to Parent's Board of Directors as of the Effective Time with a term expiring at the next annual meeting of Parent's stockholders.

  • Function of Committee The Committee shall concern itself with the following general matters: a) Considering constructive criticisms of all activities so that better relations shall exist between the Employer and the employees. b) Improving and extending services to the public. c) Promoting safety and sanitary practices. d) Reviewing suggestions from employees, questions of working conditions and service (but not grievances). e) Correcting conditions which might cause grievances and misunderstandings.

  • Special Committee The term “Special Committee” shall have the meaning as provided in Section 13(a).

  • Recognition of the U.S. Special Resolution Regimes (i) In the event that any Underwriter that is a Covered Entity becomes subject to a proceeding under a U.S. Special Resolution Regime, the transfer from such Underwriter of this Agreement, and any interest and obligation in or under this Agreement, will be effective to the same extent as the transfer would be effective under the U.S. Special Resolution Regime if this Agreement, and any such interest and obligation, were governed by the laws of the United States or a state of the United States. (ii) In the event that any Underwriter that is a Covered Entity or a BHC Act Affiliate of such Underwriter becomes subject to a proceeding under a U.S. Special Resolution Regime, Default Rights under this Agreement that may be exercised against such Underwriter are permitted to be exercised to no greater extent than such Default Rights could be exercised under the U.S. Special Resolution Regime if this Agreement were governed by the laws of the United States or a state of the United States.
