Opinion of Your Counsel. At the Closing Date, you shall receive the favorable opinion of Xxxxxxx & Xxxxxxx, P.C., your counsel, with respect to such matters as you may reasonably require and the Company shall have furnished to such counsel such documents as they may reasonably request for the purpose of enabling them to pass on such matters.

Opinion of Your Counsel. At Closing Time, you shall have received the favorable opinion, dated as of Closing Time, of Chapman and Cutler, your counsex, xxxx respxxx xx the matters as you may reasonably require. In giving such opinion such counsel may rely, as to all matters arising under or governed by the laws of the State of Maryland, upon the opinion of Ballard Spahr Andrews & Inxxxxxxx xxxxxxxxx xxxxxxxx to Section 5(b) and, as to all matters governed by the laws of other jurisdictions (other than the law of the State of New York and the federal law of the United States), upon the opinions of counsel satisfactory to you. Such counsel may also state that, insofar as such opinion involves factual matters, they have relied, to the extent they deem proper, upon certificates of officers of the Company and its subsidiaries and certificates of public officials.
