Optional Repayment of Advances. 2.5.1 The Borrower shall not have the right to repay all or any portion (except for (i) the final mandatory repayment on the Termination Date, (ii) any repayment necessary to cure an Excess Spread Deficiency or Swap Spread Deficiency in accordance with Section 2.6.2, (iii) any repayments in accordance with Section 8.1, in an amount not less than $10,000,000 or (iv) as otherwise expressly provided by this Agreement) of any outstanding Tranche except as permitted by the Lender. The terms and conditions of any such prepayment shall be determined by the Lender in its sole discretion.

Optional Repayment of Advances. 2.5.1 The Borrower shall have the right to repay, without penalty, all or a portion (but, except for the final repayment, in an amount not less than $500,000) of any outstanding Advance on any Payment Date, provided that upon not less than two (2) Business Days but not more than three (3) Business Days prior to the date of repayment the Borrower delivers irrevocable written notice, in the form attached hereto as Schedule D, in both written and electronic format (a "Repayment Notice"), to the Noteholders and the Secured Party. The Borrower shall have the additional right to repay, without penalty, all or a portion of any outstanding Advance on any Business Day which is not a Payment Date, provided that not less than five (5) Business Days prior to the date of such repayment, the Borrower delivers a Repayment Notice to the Noteholders and the Secured Party. The Borrower shall also have the right to repay all or a portion of any outstanding Advance on any Business Day which is not a Payment Date without five (5) Business Days written notice; provided that, on any such repayment date, the Borrower shall have delivered a Repayment Notice to the Noteholders and the Secured Party and the Borrower, shall on demand by the Noteholders, indemnify the Noteholders for any loss or expense (including breakage costs) which the Noteholders incur as a result of any such repayment made by the Borrower.
Optional Repayment of Advances. 2.5.1 On any Payment Date, the Borrower shall have the right to repay without penalty all or a portion of any outstanding Advance. The Borrower shall also have the right to repay all or a portion of any outstanding Advance on any Business Day which is not a Payment Date; provided that in connection with any such repayment not effected on a Payment Date, the Borrower shall on demand by the Lender indemnify the Lender for any loss or expense (including breakage costs) which the Lender incurs as a result of any such repayment made by the Borrower.

Each such partial repayment of the Loans shall be in an amount of $10,000,000 or an integral multiple of $1,000,000 in excess thereof, shall be accompanied by the payment of accrued interest on the principal repaid to the date of payment, and shall be applied, in the absence of instruction by the applicable Borrower, first to the principal of Swing Loans made to such Borrower, second to the principal of Alternate Base Rate Loans made to such Borrower, third to the principal of Federal Funds Rate Loans and fourth to the principal of LIBOR Loans made to such Borrower (in inverse order of the last days of their respective Interest Periods). Each partial repayment shall be allocated among the Banks, in proportion, as nearly as practicable, to the respective unpaid principal amount of each Bank’s Loans, with adjustments to the extent practicable to equalize any prior repayments not exactly in proportion. Any amounts repaid under this Section 3.3 may be reborrowed prior to the Maturity Date as provided in Section 2.8, subject to the conditions of Section 10.

  • Optional Prepayments of Advances The Borrower may, upon at least two Business Days’ notice, in the case of Eurodollar Rate Advances, and upon notice not later than 11:00 A.M. (New York City time) on the date of prepayment, in the case of Base Rate Advances, to the Administrative Agent stating the proposed date and aggregate principal amount of the prepayment, and, if such notice is given, the Borrower shall prepay the outstanding principal amount of the Advances comprising part of the same Borrowing in whole or ratably in part, together with accrued interest to the date of such prepayment on the principal amount prepaid; provided, however, that (x) each partial prepayment shall be in a minimum amount of $5,000,000 or an integral multiple of $1,000,000 in excess thereof and (y) in the event of any such prepayment of a Eurodollar Rate Advance, the Borrower shall be obligated to reimburse the Lenders in respect thereof pursuant to Section 8.04(c).

  • Optional Repayments The Borrower may at any time and from time to time repay the Revolving Credit Loans, in whole or in part, upon at least three (3) Business Days' irrevocable notice to the Administrative Agent with respect to LIBOR Rate Loans and one (1) Business Day's irrevocable notice with respect to Base Rate Loans, in the form attached hereto as Exhibit D (a "Notice of Prepayment") specifying the date and amount of repayment and whether the repayment is of LIBOR Rate Loans, Base Rate Loans, or a combination thereof, and, if of a combination thereof, the amount allocable to each. Upon receipt of such notice, the Administrative Agent shall promptly notify each Lender. If any such notice is given, the amount specified in such notice shall be due and payable on the date set forth in such notice. Partial repayments shall be in an aggregate amount of $1,000,000 or a whole multiple of $250,000 in excess thereof with respect to Base Rate Loans and $5,000,000 or a whole multiple of $1,000,000 in excess thereof with respect to LIBOR Rate Loans.

  • Optional Repayment If so indicated in the Accumulation Fund Schedule, GLAIC shall pay to the Policyholder the amount the Policyholder needs to redeem or repay any notes or other instruments issued by the Policyholder and backed by this Policy, pursuant to any limited right of redemption or repayment contained in such note or instrument. GLAIC may require reasonable evidence that the redemption or repayment request satisfies all the terms and conditions described in the prospectus, prospectus supplement and/or pricing supplement applicable to such note or other instrument. Additional restrictions, if any, on the Policyholder’s reimbursement rights under this Section may be included in the Accumulation Fund Schedule.
