Common use of Order of Preference Clause in Contracts

Order of Preference. a. Any purchase made pursuant to this Master Agreement shall consist of the following documents: i. A Participating Entity’s Participating Addendum (“PA”), with the exception of any term that conflicts with Section 8 of the Master Agreement Terms and Conditions entitled “Participating Addenda” or Section 14 of the Master Agreement Terms and Conditions “NASPO ValuePoint Terms” ii. Master Agreement Terms and Conditions, including all Exhibits and Attachments to the Master Agreement, excluding the RFP and Contractor’s response; iii. The RFP iv. Contractor’s response to the RFP, as revised (if permitted) and accepted by the Lead State. b. These documents shall be read to be consistent and complementary. Any conflict among these documents shall be resolved by giving priority to these documents in the order listed above. c. Contractor terms and conditions that apply to this Master Agreement are only those that are expressly accepted by the Lead State and must be in writing and attached to this Master Agreement as an Exhibit, Appendix, or Attachment.
