Organizational Documents - Borrower. The Agent shall have received with respect to the Borrower:
(a) a certificate of good standing certified by the Secretary of State, or other appropriate Governmental Authority, of the state of incorporation of the Borrower;
(b) a certified copy from the appropriate Governmental Authority under which the Borrower is organized, of the Borrower’s recorded articles of incorporation and all recorded amendments thereto;
(c) a certificate of qualification to do business for the Borrower certified by the Secretary of State or other Governmental Authority of each state in which the Borrower conducts business;
(d) a certificate dated as of the Closing Date by the Secretary or an Assistant Secretary of the Borrower covering:
(i) true and complete copies of the Borrower’s corporate charter, bylaws, and all amendments thereto;
(ii) true and complete copies of the resolutions of its Board of Directors authorizing (A) the execution, delivery and performance of the Financing Documents to which it is a party, (B) the borrowings hereunder, and (C) the granting of the Liens contemplated by this Agreement and the Financing Documents to which the Borrower is a party;
(iii) the incumbency, authority and signatures of the officers of the Borrower authorized to sign this Agreement and the other Financing Documents to which the Borrower is a party; and
(iv) the identity of the Borrower’s current directors, common stock holders and other equity holders, as well as their respective percentage ownership interests.
Organizational Documents - Borrower. The articles of incorporation and bylaws of Borrower certified by the Secretary of Borrower or another officer of Borrower acceptable to Lender.
Organizational Documents - Borrower. The Partnership Agreement of Borrower and the Certificate of Partnership of Borrower certified by an officer of Borrower acceptable to Lender.
Organizational Documents - Borrower. The Lender shall have received:
(a) a certificate of good standing certified by the Secretary of State, or other appropriate Governmental Authority, of the state of incorporation of the Borrower;
(b) a certified copy from the appropriate Governmental Authority under which the Borrower is organized, of the Borrower's recorded articles of incorporation and all recorded amendments thereto;
(c) a certificate of qualification to do business for the Borrower certified by the Secretary of State or other Governmental Authority of each state in which the Borrower conducts business;
(d) a certificate dated as of the Closing Date by the Secretary or an Assistant Secretary of the Borrower covering:
(i) true and complete copies of the Borrower's corporate charter, bylaws, and all amendments thereto;
(ii) true and complete copies of the resolutions of its Boardof Directors authorizing (A) the execution, delivery and performance of the Financing Documents to which it is a party, (B) the borrowings hereunder, and (C) the granting of the Liens contemplated by this Agreement and the Financing Documents to which the Borrower is a party;
(iii) the incumbency, authority and signatures of the officers of the Borrower authorized to sign this Agreement and the other Financing Documents to which the Borrower is a party; and
(iv) the identity of the Borrower's current directors, common stock holders and other equity holders, as well as their respective percentage ownership interests.
Organizational Documents - Borrower. The Lender shall have received for the Borrower:
(a) a certificate of good standing certified by the Secretary of State, or other appropriate Governmental Authority, of the state of formation of the Borrower;
(b) a certificate of qualification to do business for the Borrower certified by the Secretary of State or other Governmental Authority of each state in which the Borrower conducts business;
(c) a certificate dated as of the Closing Date by the Secretary or an Assistant Secretary of the Borrower covering:
(i) true and complete copies of the Borrower's organizational documents, and all amendments thereto;
(ii) true and complete copies of the resolutions of its Board of Directors authorizing (A) the execution, delivery and performance of the Financing Documents to which it is a party, (B) the borrowings hereunder, and (C) the granting of the Liens contemplated by this Agreement and the Financing Documents to which the Borrower is a party;
(iii) the incumbency, authority and signatures of the officers of the Borrower authorized to sign this Agreement and the other Financing Documents to which the Borrower is a party; and
Organizational Documents - Borrower. Lender shall have received:
(a) a certificate of good standing certified by the Secretary of State, or other appropriate Governmental Authority, of the state of formation of Borrower;
(b) a certified copy from the appropriate Governmental Authority under which Borrower is organized, of Borrower’s organizational documents and all recorded amendments thereto;
(c) certificates of qualification to do business certified by the Secretary of State of the State of Delaware and the Commonwealth of Virginia; and
Organizational Documents - Borrower. The Lender shall have received:
(a) a certificate of good standing for the Borrower certified by the Secretary of State, or other appropriate Governmental Authority, of the state of formation for the Borrower;
(b) a certified copy from the appropriate Governmental Authority under which the Borrower is organized, of the Borrower’s organizational documents and all recorded amendments thereto;
(c) a certificate of qualification to do business for the Borrower certified by the Secretary of State or other Governmental Authority of each jurisdiction in which the Borrower conducts business; and
(d) a certificate by the Secretary or an Assistant Secretary of the Borrower in form and substance satisfactory to the Lender.
Organizational Documents - Borrower. Consents, Licenses, Approvals, Etc.
Organizational Documents - Borrower. Certificate of Secretary of the Borrower as to (i) resolutions of its Board of Directors authorizing the Borrower to enter into the First Amendment and all related documents, (ii) incumbency, and (iii) no amendments to its Certificate of Incorporation or Bylaws. Organizational Documents - Borrower. The Agent shall have received for the Borrower:
(a) a certificate of good standing certified by the Secretary of State, or other appropriate Governmental Authority, of the state of incorporation of the Borrower, if applicable;
(b) a certificate dated as of the date of this Agreement by the Secretary or an Assistant Secretary of the Borrower covering:
(i) true and complete copies of its corporate charter, bylaws, and all amendments thereto;
(ii) true and complete copies of the resolutions of its Board of Directors authorizing (A) the execution, delivery and performance of the Financing Documents and, if the Italian Target Stock Purchase Transaction is being consummated concurrently, the Italian Target Stock Purchase Documents to which it is a party, (B) the borrowings hereunder, (C) the granting of the Liens contemplated by this Agreement and the Financing Documents to which it is a party and (D) if the Italian Target Stock Purchase Transaction is being consummated concurrently, the Italian Target Stock Purchase Transaction;
(iii) the incumbency, authority and signatures of the officers authorized to sign this Agreement and the other Financing Documents to which it is a party; and
