OTHER AGREEMENTS AND COVENANTS OF THE SELLER
AND THE COMPANIES. Each of the Seller and the Companies covenants and agrees with Purchaser that, at all times from and after the date hereof until the Closing and, with respect to any covenant or agreement by its terms to be performed in whole or in part after the Closing, for the period specified herein or, if no period is specified herein, indefinitely, the Seller and the Companies will comply with all covenants and provisions of this ARTICLE 3, except to the extent Purchaser may otherwise consent in writing (which consent shall not be unreasonably withheld or delayed) and further provided that the following covenants shall not apply to any actions taken by the Company or its Subsidiaries which are caused by or directed by Purchaser or any of its appointees as officers to the Companies or Subsidiaries pursuant to or in connection with the Interim Agreements.
