Own Use. Dialysis Center hereby certifies that EPOGEN(R)purchased hereunder shall be for Dialysis Center's "own use", for the exclusive treatment of dialysis patients.

Own Use. NMC hereby certifies that Products purchased hereunder will be for the "own use" by NMC and the Affiliates of NMC. NMC hereby further certifies that all of the Products purchased hereunder shall be for the exclusive use of treating dialysis patients.

Dialysis Center hereby certifies that Products purchased hereunder shall be for Dialysis Center’s, its Designated Affiliates” and its Managed Centers’ “own use” for the treatment of dialysis patients. Only Products purchased for Dialysis Center’s, its Designated Affiliates’ or its Managed Centers’ “own use” for the treatment of dialysis patients shall be eligible for the pricing, discounts and/or rebates available pursuant to this Agreement. Dialysis Center, its Designated Affiliates and its Managed Centers covenant that they shall not seek any such pricing, discounts and/or rebates for any Products not for its or their “own use” for the treatment of dialysis patients, and shall promptly notify Amgen in the event Amgen does provide Dialysis Center, its Designated Affiliates or its Managed Centers any such pricing, discount and/or rebates.
Own Use. Customer’s purchase of Products from Fresenius Kabi under these Terms must be for its “own use” as defined by the United States Supreme Court in the case of Xxxxxx Laboratories, et al., v. Portland Retail Druggist Assoc., Inc., 425 U.S.1 (1976). Xxxxxxxxx Xxxx shall have the right to suspend sales of Products to Customer if Xxxxxxxxx Xxxx suspects a violation of this “own use” provision by Customer.
Own Use. Retailer represents and warrants that all purchases of pharmaceuticals by Retailer under this Agreement will be for Retailer’s “own use” (as that term is defined in judicial or legislative interpretation) within licensed pharmacies owned by Retailer and not for resale to anyone other than the final consumer in the form of completed prescriptions, except for de minimis sales to other providers that directly sell the products to consumers as permitted by applicable state or federal law. In no event, however, shall Retailer sell any products purchased under this Agreement to any entity that resells such products to a non-consumer. Notwithstanding anything to the contrary, this Agreement may be immediately terminated by Company in the event that the Company reasonably determines that Retailer is in breach of this section. Should Retailer in anyway dispense, provide, transfer or sell any pharmaceuticals purchased by Retailer under this Agreement in contravention of this Section, Retailer agrees that it shall be liable for (and shall indemnify and hold the Company harmless from) any and all damages and penalties incurred by Company.
