The Aircraft Sample Clauses

The Aircraft. Subject to the terms and conditions of this Agreement, Boeing will manufacture and deliver to Buyer and Buyer will purchase and accept delivery from Boeing of one hundred twenty-nine (129) Boeing Model 737-7H4 aircraft (the Aircraft) manufactured in accordance with Boeing Detail Specification D6-38808-1, dated October 30, 1996, as described in Exhibit A, as modified from time to time in accordance with this Agreement (Detail Specification).
The Aircraft. The Lessee hereby certifies that the Aircraft described in Schedule 1 hereto, consisting of two pages (including attachments) and made a part hereof, and the Aircraft Documents described in Schedule 2 hereto, consisting of three pages (including attachments) and made a part hereof, have been delivered to the Lessee, inspected by the Lessee, found to be in good order and accepted hereunder, and for all purposes of, the Lease, all on the date hereof. Any qualifications to the return conditions set forth in Lease Section 6 are attached hereto in Schedule 3. Lessee accepts delivery of the Aircraft "AS IS", "WHERE IS", AND SUBJECT TO EACH AND EVERY DISCLAIMER OF WARRANTY AND REPRESENTATION AS SET FORTH IN SECTIONS 4.3 OF THE LEASE.
The Aircraft. Lessee hereby acknowledges, agrees and certifies that the Aircraft as set forth and described in Schedule 1 is in Lessee’s possession, has been inspected by Lessee to its complete satisfaction, has been found to be in good working order, repair and condition and fully equipped to operate as required under applicable law for its purpose, is of a size, design, capacity and manufacture selected by Lessee and suitable for Lessee’s purposes, and is, as of the date set forth below, unconditionally, irrevocably and fully accepted by Lessee for lease under the Lease. Lessee hereby further unconditionally and irrevocably reaffirms its representations, warranties, covenants and acknowledgments in the Lease and agrees that the Lease provides in favor of the Lessor an International Interest in the Aircraft. All capitalized terms used herein that are not otherwise defined herein has the meanings given to such terms in the Lease.
The Aircraft. Boeing will manufacture and deliver to Buyer and Buyer will purchase and accept delivery from Boeing the Model 737 aircraft (the Aircraft) described below in the quantities of the model types shown in Table 1, Aircraft Deliveries and Descriptions for Model 737 Aircraft, to this Agreement and manufactured in accordance with the detail specifications identified below (Detail Specification).
The Aircraft. EACH ENGINE AND EACH PART THAT CONSTITUTE A PORTION OF ANY TRANSFERRED INTEREST IS BEING TRANSFERRED AND DELIVERED TO ASSIGNEE "AS IS" AND "WHERE IS," AND EXCEPT AS EXPRESSLY SET FORTH IN SECTION 5.1 HEREOF, WITHOUT ANY REPRESENTATION, GUARANTEE OR WARRANTY OF ASSIGNOR, EXPRESS OR IMPLIED, OF ANY KIND, ARISING BY LAW OR OTHERWISE; AND
The Aircraft. Lessee hereby certifies that the Aircraft described in Schedule 1 hereto has been delivered to Lessee, inspected by Lessee, and accepted under, and for all purposes of, the Lease in accordance with the Acceptance Certificate annexed hereto, all on the date hereof. Lessee accepts delivery of the Aircraft "AS IS," "WHERE IS," AND SUBJECT TO EACH AND EVERY DISCLAIMER OF WARRANTY AND REPRESENTATION AS SET FORTH IN SECTION 3.4 OF THE LEASE.
The Aircraft. Lessee hereby certifies that the Aircraft as set forth and described in Annex A hereto has been delivered to Lessee, inspected by Lessee, found to be in good order and fully equipped to operate as required under applicable law for its intended purpose, and is, on the date set forth below, preowned and used and fully and finally accepted under the Lease.
The Aircraft. 2.1 Each Aircraft shall be manufactured and offered for delivery to Buyer in a manner conforming to the Customer Specification. 2.2 Each Aircraft shall be offered for delivery to Buyer with a CAA Certificate of Airworthiness for Export which shall qualify for the issuance of a United States FAA Certificate of Airworthiness. 2.3 Buyer acknowledges and agrees that in the event any requirement, regulation or mandate of the CAA or of the FAA or any law or any interpretation thereof becomes effective between the date of this Agreement and the Delivery Date of an Aircraft which has the effect of requiring any changes or modifications to the Customer Specification or to any work carried out or to be carried out in the manufacture of such Aircraft or to the testing with respect thereto ("Regulatory Change"), * Seller shall, without any obligation or requirement to secure the permission or consent of Buyer, provided, however, that Seller shall consult with Buyer on the proposed change or modification, make such changes or modifications to the Customer Specification, or to the Aircraft or carry out such testing, or if such modifications or changes shall be embodied following the Delivery Date of an Aircraft, Seller shall consult and agree with Buyer on a schedule for such Regulatory Change to be embodied. 2.3.1 Seller shall undertake all modifications, changes and testing required by such Regulatory Change at Seller's expense if such Regulatory Change is exclusively required for the Aircraft * and not generally applicable to turboprop passenger transport aircraft certificated under the category applicable to the Aircraft. 2.3.2 In the case of a Regulatory Change applicable to the Aircraft * plus any other turboprop passenger transport aircraft certified under the category applicable to the Aircraft, the Base Purchase Price for the Aircraft may be increased to reflect the cost of all changes, modifications and testing required by such Regulatory Change, provided, however, that (i) * (ii) the cost shall not exceed the cost charged for the same changes on aircraft of other best customer operators of Jetstream 41 aircraft or (ii) in order to standardize with other aircraft already in Buyer's fleet, Buyer may elect to embody the Regulatory Change on the Aircraft at its own cost by providing sufficient notice to Seller. 2.3.3 Seller shall provide Buyer with written notice of each such Regulatory Change and shall issue to Buyer a Change Order executed by Seller stating the...
The Aircraft. 1.1.1 The Aircraft – Model 737-700 (Block A through L, Block T, and Block 700LUV). Subject to the terms and conditions of this Agreement, Boeing will manufacture and deliver to Buyer and Buyer will purchase and accept delivery from Boeing of the Boeing Model 737-7H4 aircraft listed in Table 1 and Table 1a, “Aircraft Information Table,” of this Agreement which are identified therein as the Block A through L Aircraft, Block T Aircraft (including Xxxxx X-X, X-X-0/X-X-0x, X-X-0/X-X-0x, X-X-0x, and T-W-2c), and Block 700LUV Aircraft, collectively referred to as the “737-7H4 Aircraft,” and manufactured in accordance with the configuration described in Exhibit A, Exhibit A-Winglet, Exhibit A-1-Winglet, Exhibit X-0X, Xxxxxxx X-0, Xxxxxxx X-0, Xxxxxxx X-0, or Exhibit A-5 as applicable, as modified from time to time in accordance with this Agreement (737-7H4 Detail Specification).
The Aircraft. The Lessee hereby certifies that the Aircraft described Schedule 1 hereto, consisting of 2 pages and made a part hereof, and the Aircraft Documents described in Schedule 2 hereto, consisting of 1 page and made a part hereof, have been delivered to the Lessee, inspected by the Lessee, found to be in good order and accepted under, and for all purposes of, the Lease, all on the date hereof. Lessee accepts delivery of the Aircraft "AS IS," "WHERE IS," AND SUBJECT TO EACH AND EVERY DISCLAIMER OF WARRANTY AND REPRESENTATION AS SET FORTH IN SECTIONS 4(c) OF THE LEASE. For the avoidance of doubt, the Lessee's obligations to return the Aircraft in the conditions set forth in Section 6 of the Lease may be amended as expressly set forth in Schedules 1 and 2 hereto.
