Ownership and Return of Confidential Information and Company Property. All Confidential Information and any materials (including, without limitation, documents, drawings, papers, diskettes, tapes, models, apparatus, sketches, designs and lists) furnished to Contractor by Company, whether delivered to Contractor by Company or made by Contractor in the performance of services under this Agreement and whether or not they contain or disclose Confidential Information (collectively, the “Company Property”), are the sole and exclusive property of Company or Company’s suppliers or customers. Contractor agrees to keep all Company Property at Contractor’s premises unless otherwise permitted in writing by Company. Within five (5) days after any request by Company, Contractor shall destroy or deliver to Company, at Company’s option, (a) all Company Property and (b) all materials in Contractor’s possession or control that contain or disclose any Confidential Information. Contractor will provide Company a written certification of Contractor’s compliance with Contractor’s obligations under this Section.

Consultant agrees to keep all Company Property at Consultant’s premises unless otherwise permitted in writing by Company. Within five (5) days after any request by Company, Consultant shall destroy or deliver to Company, at Company’s option, (a) all Company Property and (b) all materials and items in Consultant’s possession or control that contain or disclose any Confidential Information. Consultant will provide Company a written certification of Consultant’s compliance with Consultant’s obligations under this Section.

All Confidential Information and any materials furnished to Consultant by the Company hereunder (the “Company Property”), are the sole and exclusive property of the Company or the Company’s suppliers or customers. Upon the earlier of (i) five (5) days after any request by the Company or (ii) the termination of this Agreement for any reason, Consultant shall use his reasonable best efforts to destroy or deliver to the Company, at the Company’s option, (a) all Company Property and (b) all materials in Consultant’s possession or control that contain or disclose any Confidential Information.

Advisor agrees to keep all Company Property at Advisor’s premises unless otherwise permitted in writing by Company. Within five (5) days after any request by Company, Advisor shall destroy or deliver to Company, at Company’s option, (a) all Company Property and (b) all materials in Advisor’s possession or control that contain or disclose any Confidential Information. Advisor will provide Company a written certification of Advisor’s compliance with Advisor’s obligations under this Section 5(d).

Nothing in this Section 5 is intended to limit any remedy of Company under the California Uniform Trade Secrets Act (California Civil Code Section 3426), or otherwise available under law.

Within five (5) days after any request by Company, Contractor shall destroy or deliver to Company, at Company’s option,
(i) all Company Property, and (ii) all materials in Contractor’s possession or control that contain or disclose any Confidential Information of Company or any of its Customers. Contractor will provide Company a written certification of Contractor’s compliance with Contractor’s obligations under this Section 9(a) if so requested by Company.

All Confidential Information and any materials (including, without limitation, documents, drawings, papers, diskettes, tapes, models, apparatus, sketches, designs and lists) furnished to REDWOOD by Company, whether delivered to REDWOOD by Company or made by REDWOOD in the performance of services under this Agreement and whether or not they contain or disclose Confidential Information (collectively, the “Company Property”), are the sole and exclusive property of Company or Company’s suppliers or customers. Within ten (10) business days after any request by Company, REDWOOD shall destroy or deliver to Company, at Company’s option, (a) all Company Property; and, (b) all materials in REDWOOD’s possession or control that contain or disclose any Confidential Information. REDWOOD will provide Company a written certification of REDWOOD’s compliance with REDWOOD’s obligations under this Section 7.3.

Within five (5) days after any request by the Company, the Contractor shall destroy or deliver to the Company, at the Company’s option, (i) all Company Property, and (ii) all materials in the Contractor’s possession or control that contain or disclose any Confidential Information of the Company or any of its customers. The Contractor will provide the Company a written certification of the Contractor’s compliance with its obligations under this Section 12(a) if so requested by the Company.
