Ownership and Use of Trademark. Whenever the Company uses a trademark in advertising or in any other manner in connection with the Products which it sells or distributes, the Company shall indicate Hornschuch's ownership of the trademark. When using the trademark under this Agreement, the Company undertakes to comply with substantially all laws pertaining to trademarks in force at any time in the Territory, including, but not limited to, compliance with marketing requirements. In no event shall the Company have any ownership interest in or make any filing for any trademark or tradename owned by Hornschuch. The Company shall be entitled to place its own trademarks on Products.
Ownership and Use of Trademark. Church acknowledges that Crossroads has developed a national brand identity utilizing the Crossroads Kids Club trademark. Church and Crossroads intend to mutually develop, promote and strengthen the Crossroads Kids Club trademark. Commencing upon the Effective Date of this Agreement, Crossroads grants to Church the nonexclusive license to use the trademark Crossroads Kids Club and Crossroads Connections Club and logos to promote and operate Church’s after-school program for a period not to exceed the Term of this Agreement. In the event of termination of the Agreement for any reason, all intellectual property licenses, including the use of the Crossroads Kids Club and Crossroads Connections Club names and logos, shall terminate immediately.

  • Use of Trademark In the case that the Subscriber provides a telecommunication service to an Subscriber’s Customer pursuant to Section 8.1, if the Subscriber desires to use SORACOM’s trademark, the Subscriber shall obtain SORACOM’s consent in writing to do so before using SORACOM’s trademark, and shall comply with any other conditions relating to the use of SORACOM’s trademark specified by SORACOM separately.

  • Use of Trademarks Subject to the terms and conditions hereof, Sponsor hereby represents and warrants that it has the power and authority to grant, and does hereby grant to Show Management a non-exclusive, nontrans- ferable, royalty-free, worldwide license to reproduce and display all logos, trademarks, trade names and similar identifying material relating to Sponsor (the ”Sponsor Marks”) solely in connection with the promotion, marketing and distribution of the parties in accordance with the terms hereof, provided, however, that Show Management shall, other than as specifically provided for in this Agreement, not make any specific use of any Sponsor Mark without first submitting a sample of such use to Spon- sor and obtaining its prior consent, which consent shall not be unreasonably withheld. Moreover, all drawings, memoranda, notes, records, files, correspondence, drawings, manuals, models, specifications, computer programs, maps and all other writings or materials of any type embodying any of such information, ideas, concepts, improvements, discoveries, and inventions are and shall be the sole and exclusive property of Employer.

  • OWNERSHIP AND PROTECTION OF INTELLECTUAL PROPERTY AND CONFIDENTIAL INFORMATION 4.1 All information, ideas, concepts, improvements, discoveries, works of authorship, and inventions, whether patentable or copyrightable or not, which are conceived, reduced to practice, authored, made, developed or acquired by Employee, individually or in conjunction with others, in the scope of Employee's employment by Employer or any of its affiliates, and/or during the term of Employee’s employment (whether during business hours or otherwise and whether on Employer's premises or otherwise) which relate to the business, products or services of Employer or its affiliates (including, without limitation, all such information relating to any corporate opportunities, research, financial and sales data, pricing and trading terms, evaluations, opinions, interpretations, acquisition prospects, the identity of customers or their requirements, the identity of key contacts within the customer's organizations or within the organization of acquisition prospects, or marketing and merchandising techniques, prospective names, and marks), and all documents, things, writings and items of any type or in any media embodying any of the foregoing (collectively, “Developments”), and any and all proprietary rights of any kind thereto, including without limitation all rights relating to patents, copyrights, trade secrets, and trademarks, shall be the sole and exclusive property of Employer or its affiliates, as the case may be. Employee hereby assigns to Employer any and all rights Employee might otherwise have in and to any such Developments, and any and all proprietary rights of any kind thereto, including without limitation all rights relating to patents, copyrights, trade secrets, and trademarks.

  • Protection of Trade Secrets The Executive agrees to maintain in strict confidence and, except as necessary to perform his duties for the Employer, the Executive agrees not to use or disclose any Trade Secrets of the Employer during or after his employment. “Trade Secret” means information, including a formula, pattern, compilation, program, device, method, technique, process, drawing, cost data or customer list, that: (i) derives economic value, actual or potential, from not being generally known to, and not being readily ascertainable by proper means by, other persons who can obtain economic value from its disclosure or use; and (ii) is the subject of efforts that are reasonable under the circumstances to maintain its secrecy.
