Ownership of Items Produced. All writings, programs, data, public records or other materials prepared by the Contractor and/or its consultants or subcontractors, in connection with the performance of this Agreement shall be the sole and absolute property of the County.

All writings, programs, data, art work, music, maps, charts, tables, illustrations, records or other written, graphic, analog or digital materials prepared by the Contractor and/or its consultants or subcontractors, in connection with the performance of this Agreement shall be the sole and absolute property of the County and constitute "work made for hire" as that phrase is used in federal and/or state intellectual property laws and Contractor and/or its agents shall have no ownership or use rights in the work.

Contractor acknowledges and agrees that upon payment, the County shall own any and all work product prepared by the Contractor, and/or its consultants or sub-Contractors, in performance of the scope of work as described in Exhibit “A” of this Agreement. Notwithstanding anything to the contrary contained herein, all previously owned intellectual property of Contractor, and any know-how, methodologies or processes used by Contractor to provide the services or protect deliverables to the County, including without limitation, all copyrights, trademarks, patents, trade secrets and any other proprietary rights inherent therein and appurtenant thereto, shall remain the sole and exclusive property of Contractor.

To the extent necessary to complete this work, Consultant shall provide Kittitas County a revocable license to use the RECODE Standards, limited solely for the purpose of completing the work under this Agreement, should the County decide to use RECODE Standards.

All writings, programs, data, public records or other materials prepared by the CONSULTANT and/or their subcontractors, in connection with the performance of this Agreement shall be the sole and absolute property of the COUNTY. Any modification or reuse of such items for purposes other than those intended by this Agreement shall be at COUNTY’s sole risk and without liability to CONSULTANT.

All dirt removed from the project, with the exception of that listed in Exhibit A, shall remain the property of the CONTRACTOR.
