P rovision of Services. The manner and means used by OT to perform the Services are in the sole discretion and control of OT. OT may make use of subcontractors in accordance with Appendix B HUB Subcontracting Plan of DIR Contract Number DIR-CPO-4405 to perform any of its obligations under this Agreement, but OT will remain responsible for the performance of its subcontractors.
P rovision of Services. 2.1 Sender shall enter into this Agreement upon executing this Agreement or accepting the commencement of the Services, whichever occurs earlier. 2.2 Carrier is not a “common carrier” and will accept no liability as such. Carrier reserves the right to refuse the carriage or transport of goods for any person or entity and the carriage or transport of any class of goods in its absolute discretion. 2.3 No marine transit insurance will be obtained by Carrier in relation to the Goods while performing the Services. Any such insurance must be taken out by Sender at their own cost and expense. 2.4 Any person at the delivery location shall be deemed to have the authority to sign the consignment note to accept receipt of the Goods. 2.5 Carrier relies upon the information stated on the consignment note, or any other document provided to Carrier in relation to the Goods, to enable the performance of the Services. Carrier does not warrant the accuracy or completeness of any such information and any receipt or signature provided is only an acknowledgement of the Goods being collected or delivered. Carrier’s signature or acceptance shall not be construed as confirmation of the quality, quantity or condition of the Goods. 2.6 Carrier may have the Goods carried, stored or otherwise handled by any servant or agent or sub-contractor of Carrier or any servant or agent of any sub-contractor or by any other person without Sender’s consent and Sender hereby authorises any deviation from the usual route, manner of cartage, method or place of storage of Goods which may in the absolute discretion of Carrier be deemed desirable or necessary in the circumstances. 2.7 Carrier will deliver Goods at intermediate points by special arrangement only provided that suitable facilities are available at all hours. 2.8 If Sender expressly or impliedly instructs Carrier to use or it is expressly or impliedly agreed that Carrier will use a particular method of handling or storing the Goods or a particular method of carriage, whether by road, rail, sea or air, Carrier will give priority to that method but, if it cannot conveniently be adopted by Carrier, Sender hereby authorises Carrier to handle, store or to carry or to have the Goods carried by another method or methods. Carrier shall be entitled to open any document, wrapping, package or other container in which the Goods are placed or carried, to inspect the Goods to determine their nature, condition or for the purposes of determining their ow...
P rovision of Services. Where any of the Services involve the conversion of funds from one currency into another currency and the remittance of funds to the designated Beneficiary, WALLEX Singapore will provide such Services as principal. Notwithstanding anything in this Agreement, WALLEX Singapore shall only provide such Services as may be permitted in accordance with applicable laws and in accordance with any applicable licences, approvals and/or exemptions. Nothing in this Agreement shall be construed as WALLEX providing or carrying on business in any leveraged foreign exchange trading or foreign exchange trading on a margin basis.

  • Provision of Services (a) The HSP will provide the Services in accordance with, and otherwise comply with: (1) the terms of this Agreement; (2) Applicable Law; and

  • Provision of Service NYISO will provide Developer with interconnection service of the following type for the term of this Agreement.

  • Location of Services Subcontractor will provide the Services at the following address(es): _________________________________________________________________________________________________________________________________________________________.

  • Duration of Services The obligation of GGP to perform any individual Service described in or contemplated by this Section E shall terminate upon the earliest to occur of (a) 18 months following the Distribution Date, (b) five days following written notice of termination of such Services by Spinco to GGP and (c) the applicable termination date pursuant to Article IX of the Agreement. GGP agrees to use appropriate and reasonable efforts, as mutually agreed upon by the parties and at Spinco’s cost, to (i) ensure that any terminated Service is integrated into Spinco’s broader business processes and/or (ii) complete any individual Service in this Section E requested by Spinco prior to the termination described in the prior sentence.

  • Termination of Services 6.2. To promote a non-discriminatory work environment based on the principle of equality, employers and the trade union should adopt appropriate measures to ensure that employees with HIV and AIDS are not unfairly discriminated against and are protected from victimisation through positive measures such as: (i) preventing unfair discrimination and stigmatisation of people living with HIV or AIDS through the development of HIV/AIDS policies and programmes for the workplace; (ii) awareness, education and training on the rights of all persons with regard to HIV and AIDS; (iii) mechanisms to promote acceptance and openness around HIV/AIDS in the workplace; (iv) providing support for all employees infected or affected by HIV and AIDS; and (v) grievance procedures and disciplinary measures to deal with HIV-related complaints in the workplace. 7. HIV TESTING, CONFIDENTIALITY AND DISCLOSURE

  • Modification of Services Credit Union reserves the right to modify the Service from time to time without making prior notice to Member, provided, however, that Credit Union will give you at least thirty (30) days notice prior to making any modifications to the Service that would materially alter their functionality.

  • Cessation of services The delegation or assignment of CONTRACTOR’s services, operation or administration to another entity without the prior written consent of COUNTY.

  • Suspension of Services We have the right to suspend the benefit of any Credit Union service at any time for reasonable cause. At Our discretion, We also have the right to pay any share draft presented for payment from Your Account after Your Account is closed or suspended and to recover such amount paid from You.

  • Authorization of Services a. The Contractor and its subcontractors shall have in place, and follow, written authorization policies and procedures. b. The Contractor shall have in effect mechanisms to ensure consistent application of review criteria for authorization decisions. c. The Contractor shall consult with the requesting provider for medical services when appropriate. d. Any decision to deny a service authorization request or to authorize a service in an amount, duration, or scope that is less than requested, shall be made by an individual who has appropriate expertise in addressing the beneficiary’s medical and behavioral health.

  • Delegation of Services The Administrator may, at its expense, delegate to one or more entities some or all of the services for the Fund for which the Administrator is responsible under this Subcontract. The Administrator will be responsible for the compensation, if any, of any such entities for such services to the Fund, unless otherwise agreed to by the parties or with the Fund. Notwithstanding any delegation pursuant to this paragraph, the Administrator will continue to have responsibility and liability for all such services provided to the Fund under this Subcontract.
