Condition of the Goods. 3.1 The Goods shall be defined by an agreed specification with a unique identification code.
3.2 ESSITY reserves the right at any time to change by written notification any of the following: (a) specifications, drawings and data incorporated in the Agreement where the items to be furnished are to be specifically manufactured for ESSITY; (b) quantity; (c) methods of shipment or packaging; (d) place of delivery; or (e) time of delivery. If any change by ESSITY causes an increase or decrease in the cost of Goods or change in the delivery schedule, the parties shall agree on an equitable adjustment in the contract price or delivery schedule, or both. Any claim by Supplier for adjustment under this clause shall be deemed waived unless asserted in writing within 10 days following Supplier's receipt of a written change notice from ESSITY.
Condition of the Goods. Flextronics warrants that it will properly inspect the shipment (outer boxes and pallets only) of all Goods, whether manufactured by Flextronics or a third party, upon arrival and verify that it is in suitable condition for storage at Flextronics’s facility and shipment to Customer or Customer’s customers. Flextronics will perform inspection of the non-PCBA product as agreed to by the parties. If Goods are damaged or otherwise not shippable, Flextronics shall immediately notify Customer. If Flextronics finds damage to a Good that is manufactured by Flextronics, then Flextronics shall notify its manufacturing facility of such damage, in writing. Flextronics shall also ensure that Goods are securely and properly stowed, labeled and/or marked, and that the preparation, packing, stowage, labeling and marking are appropriate to any operations or transactions affecting the Goods and the characteristics of the Goods, in compliance with any statutory regulations or official or recognized standards and in such condition as not to cause damage or injury or the likelihood of damage or injury to the Facility or other property (real or personal) of Flextronics or to any other goods, whether by spreading of damp, infestation, leakage or the escape of fumes or substances or otherwise.
Condition of the Goods. 7.1 The Buyer acknowledges that before the date the Contract is formed the Buyer has satisfied itself as to all matters relating to the Goods including the quality, value, condition, fitness for purpose and suitability of the Goods.
7.2 XXXX XXX & SONS and the Seller may (at each of their sole discretion) give the Buyer the opportunity to inspect and (if applicable) test the Goods.
7.3 Any images of the Goods (whether on the Website, in brochures, in catalogues or otherwise) are for illustrative purposes only and the Goods may vary from those images. The Goods may comprise of second-hand items, salvaged goods, raw returns, ex-display, repossessed goods and seized goods. The Goods may have been repaired or restored during the course of their normal life and they may incorporate parts that are not original to them. All Goods are sold as seen with no grading or guarantee given, and are sold subject to any faults, defects and imperfections which may subsist at the time of the sale. All Goods are purchased by the Buyer at their own risk.
7.4 Any descriptions of the Goods are for identification purposes only. Where errors or defects are not identified on the Website or notified to the Buyer by other means, there is no implied warranty as to the condition of the Goods or that they are free from any faults, imperfections, defects, repairs or restorations. XXXX XXX & SONS and the Seller shall not be held responsible for any damage or defect to the Goods that has not been expressly notified to the Buyer. XXXX XXX & SONS and the Seller do not make any representation or warranty that any of the Goods are in working order.
7.5 Unless otherwise stated expressly in writing by XXXX XXX & SONS, no warranty, condition or guarantee is given (whether express or implied) by XXXX XXX & SONS or the Seller as to the quality, age, weight, measurement, quantity, number correctness, condition, suitability, fitness for purpose or satisfactory quality of the Goods, and any and all express or implied conditions and warranties are excluded to the fullest extent permitted by law.
7.6 Where XXXX XXX & SONS or its representatives provide an estimate as to the value of the Goods or provide any guidance as to the authorship, genuineness, origin, date, age, weight, measurement, quantity, number, provenance or condition, this is an opinion given on behalf of the Seller and should not be relied upon by the Buyer. Condition of the Goods. 10.1. A certain quality in the goods delivered by Xxxxxxxx is only warranted if Xxxxxxxx expressly promises certain quality characteristics in writing. In the absence of deviating agreements in the contract, the suitability of the packaging material for direct contact with food is not obliged. Xxxxxxxx therefore accepts no liability for impairments to the goods or the packaged goods which are based on direct contact without an ex- plicitly written agreement.
10.2. In terms of printing and processing, the goods are in conformity with the contract when the printing result and the workmanship are within the tol- erances that correspond to the current state of the art.
10.3. Delivery is deemed to have been carried out in accordance with the contract if it complies with the agreed specifications or the international standards of the folding box industry. Deviations that are common in the trade or negligible or technically unavoidable are not deemed to be defects notwithstanding the above provisions.
10.4. Samples provided by Xxxxxxxx are hand or plotter samples that may differ from machine produc- tion in terms of material, appearance (e.g. punched bridges, colour) and workability (e.g. crease re- sistance). Xxxxxxxx is not liable for such deviations.
10.5. The buyer is aware that processing the goods after prolonged storage may lead to sensory im- pairments and external impairments such as creasing edge breakage and colour changes, as well as tech- nical impairments such as, for example, poor running properties, bondability, ink adhesion and planar impac- tion. If the buyer causes the originally request-for-re- lease or delivery agreed dates to be exceeded by more than 6 months, he accepts such ageing phenomena as the contractually compliant condition of the goods.

6.3. The Goods are sold on an “as is where is” basis and the Purchaser shall solely be responsible for procuring the collection of the Goods and any and all costs involved in the removal of the Goods from the Seller’s premises.
6.4. The Purchaser shall be liable for any duties that may be payable in respect of the Goods.
