Parent Authorization. Parental consent for high school pupils to enroll in community college courses shall be obtained by GGUSD. In addition, any parent/legal guardian authorizations to share information shall be obtained by the Districts, as applicable.
Parent Authorization. The Parent has the requisite power and authority to execute and deliver this Agreement and perform its obligations hereunder. All corporate action on the part of the Parent and its officers and directors necessary for the authorization, execution and delivery of this Agreement and the performance of all obligations of the Parent under this Agreement has been duly and validly taken.
Parent Authorization. Company shall have received from Parent (i) certified resolutions of Parent's Board of Directors authorizing the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby; (ii) certified resolutions of Parent's Board of Directors authorizing the payment of the Merger consideration to individuals affiliated with the Company who will be executive officers of Parent following the Closing; (iii) a certificate as to the incumbency and signatures of officers authorized to execute this Agreement; and (iv) a certificate of good standing from the Secretary of State of Delaware.
Parent Authorization. Parent and Subsidiary have the corporate power to execute and deliver this Merger Agreement and have taken (or by the Closing Date will have taken) all actions required by law, their articles of incorporation, their bylaws, or otherwise, to authorize the execution and delivery of this Merger Agreement and the consummation of the transactions contemplated hereby. This Merger Agreement is a valid and binding agreement of Parent and Subsidiary enforceable in accordance with its terms.
Parent Authorization. The Parents and Student acknowledge and agree that, during the Student’s time in the Academy, the Academy acts “in loco parentis” (in place of the Parents) and makes decisions on behalf of the Student as needed.
