PARTIAL INVALIDITY AND WAIVER. The illegality, or unenforceability of any provision of this Agreement under the law of any jurisdiction shall not affect its legality, validity or enforceability under the law of any other jurisdiction nor the legality, validity or enforceability of any other provision.
PARTIAL INVALIDITY AND WAIVER. If any provisions of this Indemnity is determined by a proper court to be invalid, illegal or unenforceable, such invalidity, illegality or unenforceability shall not affect the other provisions of this Indemnity, and this Indemnity shall remain in full force and effect without such invalid, illegal or unenforceable provision. Failure to demand strict performance by Indemnitor or to exercise or enforce any right or remedy of Lender under this Indemnity shall not constitute a waiver of any provision of this Indemnity by Lender nor shall it constitute an act or omission by which Lender knowingly promised a Release or threatened Release or violation of any applicable Environmental Laws by Indemnitor or User. No waiver of any provision of this Indemnity or any breach of this Indemnity shall be effective unless such waiver is in writing and signed by Lender and any such waiver shall not be deemed a waiver of any other provision of this Indemnity or any other or subsequent breach of this Indemnity.
PARTIAL INVALIDITY AND WAIVER. If any provision of this Agreement is ----------------------------- determined by a proper court to be invalid, illegal or unenforceable, such invalidity, illegality or unenforceability shall not affect the other provisions of this Agreement and this Agreement shall remain in full force and effect without such invalid, illegal or unenforceable provision. No waiver of any provision of this Agreement or any breach of this Agreement shall be effective unless such waiver is in writing and signed by the waiving party and any such waiver shall not be deemed a waiver of any other provision of this Agreement or any other or subsequent breach of this Agreement.
PARTIAL INVALIDITY AND WAIVER. If at any time, any one or more of the provisions hereof is or becomes invalid, illegal or unenforceable in any respect under the law of any relevant jurisdiction, such provision shall as to such jurisdiction, be ineffective to the extent necessary without affecting or impairing the validity, legality and enforceability of the remaining provisions hereof or of such provisions in any other jurisdiction. The invalid or unenforceable provision shall be deemed replaced by such valid, legal or enforceable provision which comes as close as possible to the original intent of the parties to this Agreement and the invalid, illegal or unenforceable provision. The aforesaid shall apply mutatis mutandis to any gap in this Agreement.
PARTIAL INVALIDITY AND WAIVER. 19.1 Any provision of this Contract or of the Purchase Order subsequently found to be invalid shall not in any way affect the validity or enforceability of the remainder of the Contract or of the Purchase Order. Any failure by either Party to enforce any provision of the Contract or of the Purchase Order shall not be construed as a waiver of that or any other provision.
PARTIAL INVALIDITY AND WAIVER. If any portion of this Agreement is held invalid or inoperative, then so far as is reasonable and possible the remainder of this Agreement shall be deemed valid and operative, and effect shall be given to the intent manifested by the portion held invalid or inoperative. The failure by either party to enforce against the other any term or provision of this Agreement shall not be deemed to be a waiver of such party’s right to enforce against the other party the same or any other such term or provision in the future.
PARTIAL INVALIDITY AND WAIVER. Any provision of this Agreement including, but not limited to, the Order subsequently found to be invalid, void, voidable, unenforceable or unreasonable shall be deemed severable and shall not in any way affect the validity or enforceability of the remainder of the Agreement and/or Order. Any failure or delay by Kwikbolt to enforce any provision of the Agreement and/or Order shall not be construed as a waiver of that or any other provision. Any waiver by Kwikbolt of any breach of, or any default under, any provision of this Agreement and/or Order by the Supplier shall not be deemed a waiver of any subsequent breach or default and shall in no way affect the other terms of this Agreement and/or Order.

16.2 No failure to exercise, nor any delay in exercising, on the part of the Pledgee, any right or remedy hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any right or remedy prevent any further or other exercise thereof or the exercise of any other right or remedy. The rights and remedies provided hereunder are cumulative and not exclusive of any rights or remedies provided by law.
PARTIAL INVALIDITY AND WAIVER. 10.1 The illegality or unenforceability of any provision of this Agreement under the law of any jurisdiction shall not affect its legality, validity or enforceability under the law of any other jurisdiction nor the legality, validity or enforceability of any other provision.
10.2 No failure to exercise or delay in exercising on the part of the Lender, any right, remedy or power hereunder shall operate as a waiver, nor shall any single or partial exercise preclude further or other exercise of any right, remedy or power, whether the same or any another right, remedy or power.
PARTIAL INVALIDITY AND WAIVER a. If at any time any provision of this Agreement becomes invalid or unenforceable under the law, the legality, validity or enforceability of the remaining shall in no way be affected or impaired thereby. The Parties may, in such an event, amend the provisions in such reasonable manner as it achieves the intention of the Parties without any illegality.
b. The waiver by any of the Parties of any breach or failure to enforce any of the terms and conditions of this Agreement shall not be deemed to affect, limit or waive that Party’s right thereafter to require compliance with the terms and conditions of the Agreement.
