Participation in the Process. In limited circumstances, a criminal prosecution can proceed without the participation or cooperation of the reporting individual, but without a reporting individual’s participation, it is generally more difficult to prove a crime beyond a reasonable doubt. Students are encouraged, but not required to participate in MSON’s process. Employees are required to cooperate with investigations. MSON will be limited in its ability to respond if a Complainant does not participate. Who initiates the proceedings? A prosecutor, acting on behalf of the State (or the United States in federal cases). MSON initiates proceedings, with the Complainant generally having an active role.

Participation in the Process and the Transaction. Each Consortium Member shall (a) cooperate and proceed in good faith to participate in the Process and/or the Transaction as a member of the Consortium, and (b) unless otherwise agreed by the Consortium, comply with, and cause its Representatives and Affiliates to comply with, the terms and requirements of the Process as set out in the Process Letter and the confidentiality agreements with the Company entered into by a Consortium Member or an Affiliate of a Consortium Member.

  • PARTICIPATION IN SIMILAR ACTIVITIES This agreement in no way restricts the U.S. Forest Service or from participating in similar activities with other public or private agencies, organizations, and individuals.

  • Company Participation Subject to Section B.5, the Company shall not be liable to indemnify the Indemnitee under this Agreement with regard to any judicial action if the Company was not given a reasonable and timely opportunity, at its expense, to participate in the defense, conduct and/or settlement of such action.

  • Joint Participation in Drafting Each party to this Agreement has participated in the negotiation and drafting of this Agreement and the other Transaction Documents.   • Voluntary Participation The Grantee’s participation in the Plan is voluntary. The value of the Restricted Stock Units is an extraordinary item of compensation.   • Financial Participation Prohibited Under Section 2155.004, Texas Government Code (relating to financial participation in preparing solicitations), Contractor certifies that the individual or business entity named in this Contract and any related Solicitation Response is not ineligible to receive this Contract and acknowledges that this Contract may be terminated and payment withheld if this certification is inaccurate.
