Partnership Manager. Partnership Manager shall release, indemnify and hold harmless Partnership, the Partners and each Partner's affiliates and their respective officers, directors, agents and employees, from and against all fines, penalties, assessments, claims, demands, damages and causes of action including attorneys fees (to the extent such fines, penalties, assessments, claims, demands, damages and causes of action are not satisfied by insurance required to be carried pursuant to this Agreement) for any violation or alleged violation of any laws, statutes, rules or regulations of any governmental body, and for injury to or death of any persons and loss or damage to any property, in any way arising out of, in connection with, or incident to the Partnership Manager's gross negligence, recklessness or willful misconduct or the gross negligence, recklessness or willful misconduct of its affiliates or of its affiliates or of their respective officers, directors, employees or agents.
