Suits and Claims. Except as set forth in Schedule 5.06, there is no litigation or Claims that have been filed by any person or entity or by any administrative agency or Governmental Authority in any legal, administrative, or arbitration proceeding or, to Seller’s knowledge, threatened against Seller or the Assets that would impede Seller’s ability to consummate the transactions contemplated herein or would have a material and adverse effect as to the Assets.
Suits and Claims. There is no suit or action by any person, entity or Governmental Authority pending in any legal, administrative or arbitration proceeding or, to Buyer’s knowledge, threatened against Buyer or its affiliates that will materially affect Buyer’s ability to consummate the transactions contemplated herein.
Suits and Claims. There is no Claim by any person or entity or by any administrative agency or Governmental Authority and no legal, administrative, or arbitration proceeding pending or, to Buyer’s or Parent Guarantor’s knowledge, threatened against Buyer or Parent Guarantor or any affiliate of either of them that is reasonably likely to have a material effect on Buyer’s or Parent Guarantor’s ability to consummate the transactions contemplated herein.
Suits and Claims. The Contractor agrees to indemnify and save harmless the City of Reading, the applicable Director, the Engineer, and their assistants, from all suits or actions of every name and description, either in law or in equity, including proceedings in eminent domain for the recovery of consequential damages, or for or on account of use of patented appliance, brought against them or either of them, or for any damage or injuries received or sustained by any party or parties, person or persons, natural or artificial, either in the performance or as a result of the work under this agreement, regardless of whether such suits, actions or proceedings brought are based or grounded upon negligence of the Contractor, the subcontractors, or his/her or their agents, servants or employees. The Contractor further agrees that all or as much of the monies due under this agreement as shall be or may be considered necessary by the applicable Director, shall or may be retained, without any liability of the City to the Contractor, for interest thereon because of the retention thereof, until all such suits, proceedings or claims have been settled or terminated, and satisfactory evidence to that effect furnished to the applicable Director, provided however, that no such monies shall be retained by the City after six (6) years following the completion and acceptance of the work under the contract, excepting for or on account of claims filed or suits or proceedings begun before the expiration of the applicable statute of limitations.
Suits and Claims. Except as set forth in Schedule 5.1(e), there is no suit or action by any person, entity or Governmental Authority pending in any legal, administrative or arbitration proceeding or, to Seller’s Knowledge, threatened against Seller or the Assets that could reasonably be expected to materially affect Seller’s ability to consummate the transactions contemplated herein or title to, use of or the value of any of the Assets.
Suits and Claims. No suit, action, claim, or other proceeding is now pending or, to Seller’s knowledge, threatened before any court or governmental agency which might result in the impairment or loss of any of Seller’s title to the Properties and Seller shall promptly notify Buyer of any such proceeding which arises or is threatened prior to the Closing Date.
Suits and Claims. The Supplier agrees to indemnify, defend, and save harmless the County, and all its officers, subordinates, employees and agents, from all suits and actions of any name, nature, and description brought against them or any of them for or on account of any damages or loss sustained by any party by reason of the conduct or omissions of the Supplier or his agents, servants, or employees in the performance of this Agreement or subsequent to the completion of the work under this Agreement whether such injury or damages be due to negligence, willful misconduct or the inherent nature of the work. It is not the intention of this Section or anything herein provided to confer in a third party beneficiary a right of action upon any person whatsoever and nothing hereinbefore or hereinafter set forth shall be construed so as to confer upon any person other than the County of Bucks a right of action either under this Agreement or in any manner whatsoever.
Suits and Claims. Except as otherwise disclosed to Agent in writing, ---------------- there are no Suits, actions, claims, investigations, inquiries, proceedings or demands pending (or. to the best of Mortgagor's knowledge, threatened) which affect the Properties (including, without limitation, any which challenge or otherwise pertain to Mortgagor's title to the Properties) and no judicial or administrative actions, suits or proceedings pending (or, to the best of Mortgagor's knowledge, threatened) against Mortgagor. Notwithstanding the foregoing, Mortgagor's representation in this Section with respect to pending suits, actions, claims, investigations, inquiries, proceedings or demands which affect Properties which are not operated by Mortgagor, except those pertaining to Mortgagor's title to such non-operated Properties, will be limited to the best of Mortgagor's knowledge.
Suits and Claims. There are no pending suits, actions, or other proceedings in which Buyer is a party (or, to Buyer’s knowledge, which have been threatened to be instituted against Buyer) which affect the execution and delivery of this Agreement or the consummation of the transactions contemplated hereby.
