PARTY BENEFICIARY CLAUSE. 1. The data subject can enforce against the data exporter this Clause, Clause 4(b) to (i), Clause 5(a) to (e), and (g) to (j), Clause 6(1) and (2), Clause 7, Clause 8(2), and Clauses 9 to 12 as third-party beneficiary. 2. The data subject can enforce against the data importer this Clause, Clause 5(a) to (e) and (g), Clause 6, Clause 7, Clause 8(2), and Clauses 9 to 12, in cases where the data exporter has factually disappeared or has ceased to exist in law unless any successor entity has assumed the entire legal obligations of the data exporter by contract or by operation of law, as a result of which it takes on the rights and obligations of the data exporter, in which case the data subject can enforce them against such entity. 3. The data subject can enforce against the subprocessor this Clause, Clause 5(a) to (e) and (g), Clause 6, Clause 7, Clause 8(2), and Clauses 9 to 12, in cases where both the data exporter and the data importer have factually disappeared or ceased to exist in law or have become insolvent, unless any successor entity has assumed the entire legal obligations of the data exporter by contract or by operation of law as a result of which it takes on the rights and obligations of the data exporter, in which case the data subject can enforce them against such entity. Such third-party liability of the subprocessor shall be limited to its own processing operations under the Clauses. 4. The parties do not object to a data subject being represented by an association or other body if the data subject so expressly wishes and if permitted by national law.

PARTY BENEFICIARY CLAUSE. For certain services, the bank may take account of the existence of a right of usufruct with regard to credit balances and other assets, whether existing on account or in some other form. In that case, and subject to agreement to the contrary or special power of attorney; • KBC Bank reserves the right to require the consent of the bare owner and the usufructuary to the execution of transactions. • All regularly paid income (such as interest, dividends) and capitalized amounts of interest which can be collected during the period of usufruct, will be made available to the usufructuary. The bank reserves the right not to apply the accruals method to these sums for the period prior to the commencement of the usufruct or subsequent to the termination thereof. The parties will make arrangements jointly in this regard. • The bank will allow the usufruct to continue until it is notified by the parties that the usufruct has come to an end. They will, for this purpose, present the bank with the relevant deeds or facts. KBC Bank reserves the right to freeze both the capital and the income in the event of any ambiguity in this regard. The usufruct will come to an end in any event on the decease of the usufructuary; in this case, the ordinary rules governing the settlement of estates will apply with regard to the release of the credit balances and other assets. Until the bank is notified that the usufruct has come to an end, it will remain in effect with regard to all reinvestments of the capital of which usufruct was originally granted. • The blocking of the account of the bare owner may result in the income which has accrued being blocked, as well, in this case, the bare owner and the usufructuary must reach agreement between themselves. • Special conditions associated with the usufruct are not enforceable against KBC Bank, unless the bank has expressly accepted them. • the usufructuary and the bare owner are jointly and severally liable for all charges associated with the account or the income.
PARTY BENEFICIARY CLAUSE. The Data Subjects can enforce this clause, clause 3.1.2 and 3.1.3, clause 4.1.1, 4.1.2, 4.1.3 and 4.1.5, clause 6.1 and 6.2, and clauses 7, 9 and 11 of this Agreement as Third-Party Beneficiaries.   • No Third Party Beneficiary Rights Nothing in this Agreement shall be construed as creating third-party beneficiary rights in any person or entity, except as otherwise expressly provided in this Agreement.

  • Assignment; No Third Party Beneficiaries 5.2.1 This Agreement and the rights, duties and obligations of the Company hereunder may not be assigned or delegated by the Company in whole or in part. 5.2.2 Prior to the expiration of the Founder Shares Lock-up Period or the Private Placement Lock-up Period, as the case may be, no Holder may assign or delegate such Holder’s rights, duties or obligations under this Agreement, in whole or in part, except in connection with a transfer of Registrable Securities by such Holder to a Permitted Transferee but only if such Permitted Transferee agrees to become bound by the transfer restrictions set forth in this Agreement. 5.2.3 This Agreement and the provisions hereof shall be binding upon and shall inure to the benefit of each of the parties and its successors and the permitted assigns of the Holders, which shall include Permitted Transferees. 5.2.4 This Agreement shall not confer any rights or benefits on any persons that are not parties hereto, other than as expressly set forth in this Agreement and Section 5.2 hereof. 5.2.5 No assignment by any party hereto of such party’s rights, duties and obligations hereunder shall be binding upon or obligate the Company unless and until the Company shall have received (i) written notice of such assignment as provided in Section 5.1 hereof and (ii) the written agreement of the assignee, in a form reasonably satisfactory to the Company, to be bound by the terms and provisions of this Agreement (which may be accomplished by an addendum or certificate of joinder to this Agreement). Any transfer or assignment made other than as provided in this Section 5.2 shall be null and void.
