PAYMENT AND OWNERSHIP. 4.1 Within three business days after the Borrower delivers the Vehicle to an Authorised Dealer under clause 2.4, BMW shall pay or satisfy its obligation to pay the Guaranteed Future Value as follows:

PAYMENT AND OWNERSHIP. Unless different payment terms are expressly stated on the Order, payment terms shall be thirty (30) days from Xxxxx’s receipt of Seller’s correctly presented invoice. A “correctly presented” invoice will contain the Order number and be sent to Xxxxx’s billing address. Seller represents and Buyer acknowledges that Seller has priced the Deliverables based on commercial pricing standards and Seller is not required to supply any data about cost, or about Seller’s operations to Buyer nor to any third party. If Xxxxx’s account is not paid when due, all amounts due are subject to a late-payment charge of one and one-half percent (11⁄2%) per month, computed monthly, of the invoice amount, or $100 per month, whichever is greater, and further shipments may be on a COD basis, at Seller’s option. If Seller retains an agent or attorney to collect any amounts due, Xxxxx must pay Seller’s reasonable agent’s and/or attorney’s fees, as the case may be, and costs and expenses even if no litigation is begun, and if there is litigation, Buyer must pay all of Seller’s agent’s and attorney fees, costs, and expenses as awarded by the court at all levels of litigation, appeal and review. Ownership of delivered goods is retained by Seller beyond delivery, and shall transfer from Seller to Buyer only upon completion of full payment by Buyer to Seller. If full payment is delayed beyond the term associated with a specific delivery, then Seller shall be granted access by Buyer to the delivered goods and may enter Buyer’s premises to recover delivered goods into Seller’s possession.
