Payment for External Expenses. On a Calendar Quarter-by-Calendar Quarter basis, Verve will reimburse Acuitas for any reasonable external costs that are incurred by Acuitas in connection with performing the Works and Services in accordance with the Workplan and Workplan budget, provided that such external costs have been specified in the Workplan or, if agreed by the JDC, are promptly added to the Workplan. Acuitas will send a reasonably detailed invoice to Verve no later than [**] after the end of each Calendar Quarter, which invoice shall include a detailed summary of and reasonable documentation for all such external costs. Verve agrees to pay undisputed amounts in each such invoice within [**] of Verve’s receipt thereof. Except for such reimbursement of external costs and Verve’s payments to Acuitas with respect to FTE Costs as set forth in Section 3.2, each Party will bear its own costs of performing the Workplan. For clarity, Verve shall not be responsible for reimbursing Acuitas for external costs to the extent that such costs exceed the budgeted amount for such costs in the Workplan for the applicable time period.
Payment for External Expenses. Promptly following the end of each calendar quarter during the Collaboration Program Term, Xxxxx will invoice Clovis for external expenses incurred by Xxxxx in support of the Collaboration Program and in accordance with the budget under the Collaboration Plan and Xxxxx will provide with each such invoice a reasonably detailed description of such expenditures, and thereafter Xxxxx will provide Clovis with any materials supporting such expenditures as Clovis may reasonably request. Clovis will pay Xxxxx within thirty (30) days of receiving such invoice any undisputed amounts of such external expenses. In addition to the foregoing, if any such external expense is expected to exceed One Hundred Thousand Dollars (U.S.$100,000) from any single vendor, Xxxxx may request that Clovis pay such expense directly or reimburse Xxxxx in advance of Xxxxx incurring such expense, and in connection therewith Xxxxx will promptly provide Clovis with any materials describing such expense as Clovis may reasonably request. Section 6.7(c) will apply to Xxxxx and such external expenses will be subject to audit by Clovis under the terms of that Section 6.7(c).

GreenLight agrees to pay undisputed amounts in each such invoice within forty-five (45) days of GreenLight’s receipt thereof. Except for such reimbursement of external costs and GreenLight’s payments to Acuitas with respect to FTE Costs as set forth in Section 3.2, each Party will bear its own costs of performing the Workplan. For clarity, GreenLight shall not be responsible for reimbursing Acuitas for external costs to the extent that such costs exceed the budgeted amount for such costs in the Workplan for the applicable time period.
Payment for External Expenses. For each quarter during the Research Program Term, BMS shall pay Tranzyme an amount for external expenses actually spent by Tranzyme in support of the Research Program or any other activity requested by BMS; provided that such external expenses are specifically set forth in the Research Plan and budget and approved by BMS. Tranzyme shall invoice BMS quarterly in arrears, and BMS shall pay Tranzyme within sixty (60) days of receiving such invoice, and such non-disputed payments by BMS when owed or paid shall be non-refundable and non-creditable and not subject to set-off.
Payment for External Expenses. On a Calendar Quarterly basis, CureVac will reimburse Acuitas for any reasonable external costs that are incurred by Acuitas in connection with performing the Works and Services in accordance with the Work Plan and Work Plan budget, such external costs being specified in the Work Plan or agreed by the JDC. Except for such reimbursement of external costs, CureVac’s payments to Acuitas with respect to FTE Costs as set forth in Section 3.2, each Party will bear its own costs of performing the Work Plan.

If Indemnitee is not wholly successful in such Proceeding but is successful, on the merits or otherwise, as to one or more but less than all claims, issues or matters in such Proceeding, the Company shall, to the fullest extent permitted by applicable law, indemnify, hold harmless and exonerate Indemnitee against all Expenses actually and reasonably incurred by him or her or on his or her behalf in connection with each successfully resolved claim, issue or matter. If Indemnitee is not wholly successful in such Proceeding, the Company also shall, to the fullest extent permitted by applicable law, indemnify, hold harmless and exonerate Indemnitee against all Expenses reasonably incurred in connection with a claim, issue or matter related to any claim, issue, or matter on which Indemnitee was successful. For purposes of this Section and without limitation, the termination of any claim, issue or matter in such a Proceeding by dismissal, with or without prejudice, shall be deemed to be a successful result as to such claim, issue or matter.

  • Compensation and Expenses (a) In consideration of AFD’s services hereunder, the Fund agrees to pay AFD the fees set forth in Schedule B, attached hereto. The Service Fee set forth on Schedule B may be offset by any fees and charges collected and retained by AFD as set forth below: (i) any applicable sales charge assessed upon investors in connection with the purchase of Shares; (ii) from the Fund, any applicable contingent deferred sales charge ("CDSC") assessed upon investors in connection with the redemption of Shares; (iii) from the Fund, the distribution service fees with respect to the Shares of those classes as designated in Schedule A for which a Plan is effective (the "Distribution Fee"); and (iv) from the Fund, the shareholder service fees with respect to the Shares of those Classes as designated in Schedule A for which a Service Plan is effective (the "Shareholder Service Fee"). (b) The Distribution Fee and Shareholder Service Fee, if any, shall be accrued daily by the Trust or class thereof and shall be paid monthly as promptly as possible after the last day of each calendar month but in any event on or before the fifth (5th) Fund Business Day after month-end, at the rate or in the amounts set forth in the Plan(s). The Trust grants and transfers to AFD a general lien and security interest in any and all securities and other assets of the Trust now or hereafter maintained in an account at the Trust’s custodian on behalf of the Trust to secure any Distribution Fees, Shareholder Service Fees, or other fees owed AFD by the Trust under this Agreement. (c) The Trust shall be responsible and assumes the obligation for payment of all the expenses of the Trust, including fees and disbursements of its counsel and auditors, in connection with the preparation and filing of the Registration Statement and Prospectus (including but not limited to the expense of setting in type the Registration Statement and Prospectus and printing sufficient quantities for internal compliance, regulatory purposes and for distribution to current shareholders). The Trust shall bear the cost and expenses (i) of the registration of the Shares for sale under the Securities Act; (ii) of the registration or qualification of the Shares for sale under the securities laws of the various States; (iii) if necessary or advisable in connection therewith, of qualifying the Funds, (but not AFD) as an issuer or as a broker or dealer, in such States as shall be selected by the Trust and AFD pursuant to Section 6(c) hereof; (iv) payable to each State for continuing registration or qualification therein until the Funds decide to discontinue registration or qualification pursuant to Section 6(c) hereof; and (v) payable for standard transmission costs, including costs imposed by the National Securities Clearing Corporation. AFD shall pay all expenses relating to AFD's broker-dealer qualification.

  • Liability for expenses (a) The Developer must pay its own and the City’s expenses incurred in negotiating, executing, registering, releasing, administering and enforcing this document. (b) The Developer must pay for all reasonable costs and expenses associated with the preparation and giving of public notice of this document and the explanatory note prepared in accordance with the Regulations and for any consent the City is required to provide under this document.
