Payment for Service Rendered. For providing the Advisor services as defined therein, the Company shall pay Avenndi the consideration described in paragraph 4 of Exhibit A.
Payment for Service Rendered. For providing the consulting services as defined herein, the Company shall deliver to the Consultant the consideration described in paragraph 4 of Exhibit A. The Company shall reimburse the Consultant for all approved expenses including travel as described in paragraph 5 of Exhibit A.

Payment for Service Rendered. Lessee shall pay Lessor rental for the use of Equipment in the amount of 88% from the agreed price per load. The above specified rental amount shall include pick-ups and drops per each complete trip. “

In addition to all other compensation, the Company shall cause one quarter of the option shares granted Consultant in November 2004 (i.e., 106,250 shares) to vest on the Effective Date hereof, and to remain exercisable for 3 months thereafter. As of the Effective Date, Company shall also pay Consultant any accrued unused paid time off (“PTO”). Further, Company shall contribute to Consultant’s existing 401(k) plan a quarterly match of the lesser of 3% of earned income or half of Consultant’s contribution (up to a maximum of 6% of Consultant’s salary) up to the Effective Date, including accumulated PTO if any.
