Payment of Transaction Costs and Expenses. Original Borrower shall pay at the time of execution of this Agreement by Lender: (a) the legal fees and disbursements of Lender's counsel, Bilzin Sxxxxxx Xxxxx Price & Axxxxxx LLP, in connection with the preparation of this Agreement and the transactions contemplated in this Agreement; (b) all recording costs and documentary stamps, or other taxes if any, due upon the recording of this Agreement; and (c) the costs of updating Lender's policy of title insurance insuring the Security Instrument to a current date and endorsing such policy to include this Agreement in the description of the Security Instrument with no additional exceptions, or, at Lender's option, the cost of obtaining a new Lender's policy of title acceptable to Lender insuring the Loan Documents as affected by this Agreement.

Payment of Transaction Costs and Expenses. Borrower shall pay all reasonable, out-of-pocket costs and expenses incurred in connection with the preparation, negotiation, execution and delivery of the Modification Documents, including, without limitation (collectively, the “Transaction Expenses”): (a) the legal fees and disbursements of Lender’s outside counsel; (b) all recording costs, taxes, documentary stamps, transfer taxes and other charges, costs and fees due upon the recording of any Modification Documents; (c) the costs of an updated title search with respect to each Property and modification endorsements for Lender’s policy of title insurance insuring the Security Instrument (the “Title Endorsements”) to reflect that the modification of the Loan set forth in this Agreement shall not impact Lender’s lien on any Property or adversely impact the Lender’s coverage under such title policy; (d) the costs of obtaining and delivering to Lender tax, municipal violation, UCC records, judgment and bankruptcy searches in the applicable Secretary of State for all Borrower and in the local jurisdictions where the Properties and Borrowers’ principal place of business is located (the “Searches”), each reasonably satisfactory to Lender; and (e) certificates of good standing issued by the applicable Secretary of State for all Borrower Parties (the “Certificates of Good Standing”). The Transaction Expenses shall be paid by Borrower simultaneously with the execution of this Agreement. To the extent invoices for any Transaction Expenses are received after the execution of this Agreement, Borrower shall reimburse Lender for such amounts within ten (10) Business Days of Borrower’s receipt of invoices therefor. Borrower acknowledges and agrees that Lender shall not apply any of the Transaction Expenses at any time to reduce the Debt.
Payment of Transaction Costs and Expenses. Borrower shall pay all costs incurred in connection with the preparation, negotiation, execution and delivery of this Agreement and any and all such other documents and instruments contemplated by this Agreement, including, without limitation (the "Transaction Expenses"): (a) the reasonable legal fees and disbursements of Lender's general counsel, Bilzin Xxxxxxx Xxxxx Price & Xxxxxxx LLP, and Lender's local counsel, if applicable; (b) all recording costs, taxes, documentary stamps and other charges, costs and fees due upon the recording of this Agreement; (c) the Spreader Title Expenses; (d) the Survey Expenses; (d) the costs of obtaining and delivering to Lender tax, municipal violation, UCC records, judgment and bankruptcy searches in the State and in the local jurisdictions where the New Mortgaged Property is located (the "Searches"), each satisfactory to Lender; and (e) certificates of good standing issued by the applicable Secretary of State for Borrower, Borrower's sole member and Borrower's sole member's general partner (the "Certificates of Good Standing"). The Transaction Expenses shall be paid by Borrower simultaneously with the execution of this Agreement. Borrower acknowledges and agrees that Lender shall not apply any of the Transaction Expenses at any time to reduce the Indebtedness. Payment of Transaction Costs and Expenses. New Borrower shall pay, at the time of execution of this Agreement by Lender: (a) the actual and reasonable legal fees and disbursements of Lender’s counsel, Bilzin Xxxxxxx Xxxxx Price & Xxxxxxx LLP, in connection with the preparation of this Agreement and the transactions contemplated in this Agreement; and (b) the costs of updating Lender’s policy of title insurance insuring the Security Instrument to a current date and endorsing such policy to include this Agreement in the description of the Security Instrument with no additional exceptions unacceptable to Lender in Lender’s reasonable discretion. Any or both of Borrower Parties shall pay, at the time of execution of this Agreement, all recording costs and documentary stamps, or other taxes if any, due upon the recording of this Agreement.

Borrower acknowledges and agrees that (1) Lender shall not apply any of the Transaction Expenses at any time to reduce the Loan Indebtedness and (2) the Cap shall not apply to any legal fees and disbursements related to (x) the Lender's enforcement or preservation of any rights or remedies under this Agreement or any Loan Document and (y) any amendment, waiver, workout or restructuring of this Agreement or any Loan Document.
