PAYMENTS AND OTHER PROVISIONS UPON TERMINATION OTHER THAN FOR CAUSE. OR FOR GOOD REASON. In the event Employee's employment with the Company --------------------- (including its subsidiaries) is terminated by the Company for any reason other than for Cause as provided in Paragraph 5 and other than as a consequence of Employee's death, disability, or normal retirement under the Company's retirement plans and practices prior to a Change of Control or more than three years after the occurrence of a Change of Control (as defined in Paragraph 9.d. hereof), then the following provisions shall apply. These same provisions shall apply if Employee terminates his employment in accordance with the provisions of Paragraph 6 hereof, prior to a Change of Control or more than three years after the occurrence of a Change of Control (as defined in Paragraph 9.d. hereof).

  • Obligations Upon Termination Upon termination of this Agreement, either party shall, at the request of the other party, return any document, material, database, equipment, or software containing the Confidential Information to the other party. If, for any reason, such document, material, database, equipment, or software cannot be returned, either party shall destroy all the Confidential Information belonging to the other party and delete such Confidential Information from any memory devices. No party shall be permitted to continue using the Confidential Information in any way after the termination of this Agreement.

The liability of Holders and Beneficial Owners under the Deposit Agreement shall survive any transfer of Receipts, any surrender of Receipts and withdrawal of Deposited Securities or the termination of the Deposit Agreement. Holders understand that in converting Foreign Currency, amounts received on conversion are calculated at a rate which may exceed the number of decimal places used by the Depositary to report distribution rates (which in any case will not be less than two decimal places). Any excess amount may be retained by the Depositary as an additional cost of conversion, irrespective of any other fees and expenses payable or owing hereunder and shall not be subject to escheatment.
