Payments on Certain Indebtedness. The Borrower shall not, and shall not permit any Subsidiary to, pay, or make any distributions for the payment of, any principal or other amount on any ABL Debt in violation of the Intercreditor Agreement. Aytu shall not, and shall not permit any Subsidiary to, pay, or make any distributions for the payment of, any principal or other amount on any Indebtedness that is contractually subordinated to any of the Obligations, in violation of the applicable subordination or intercreditor agreement related thereto.
Payments on Certain Indebtedness. Except with respect to (i) payments on the Permitted Seller Debt that are permitted by, and are made strictly in accordance with, the express terms of the subordination agreement, (ii) payments on the Permitted Second Lien Debt that are not prohibited by the Intercreditor Agreement and are made strictly in accordance with the express terms, if applicable, of the Intercreditor Agreement, no Loan Party shall (nor shall permit any of its Affiliates to) make any purchase, redemption, payment or prepayment of (whether by cash payment, offset or otherwise) any part or all of the Permitted Seller Debt or the Permitted Second Lien Debt.
Payments on Certain Indebtedness. The Borrower will not, nor will it permit any Subsidiary to, make or agree to pay or make, directly or indirectly, any payment or other distribution (whether in cash, securities or other property) of or in respect of principal of or interest on any Indebtedness, or any payment or other distribution (whether in cash, securities or other property), including any sinking fund or similar deposit, on account of the purchase, redemption, retirement, acquisition, cancellation or termination of any Indebtedness, except:

Pay, or make any distributions for the payment of, (a) any principal with respect to the Replacement Term Loan Debt (whether a voluntary payment, mandatory prepayment or scheduled payment) if such payment is made by any Neos Loan Party (it being understood that the foregoing limitation does not prohibit or condition such payments made by any Aytu Loan Party), or (b) any principal or other amount on any Indebtedness that is contractually subordinated to Agent, in violation of the applicable subordination or intercreditor agreement.

Payments on Certain Indebtedness. (a) The Borrower will not (i) amend the terms of any note, instrument or document relating to any obligation constituting Subordinated Indebtedness under the Subordination Agreement (Electra) or (ii) except as permitted by the terms of the Subordination Agreement (Electra), make any payments in respect of any such Subordinated Indebtedness.
