Performance Feature. The number of Earned Performance RSUs will range from 0% to 200% of the number of Target Performance RSUs, as determined by the extent to which the Performance Goals set forth on Schedule A to this Agreement are achieved in accordance with the formula described on Schedule A; provided that the Committee may, in its sole and absolute discretion, reduce the number of Earned Performance RSUs, based on such factors as the Committee may deem relevant.
