Performance Under Agreements. Borrower shall perform all of its obligations under agreements relating to or affecting its assets, properties or rights.
Performance Under Agreements. The Company covenants and agrees for the benefit of the Holders from time to time of the Units that it will duly and punctually perform its obligations under the Warrant Agreement and the Declaration, as applicable, in accordance with the terms thereof and this Unit Agreement.

AMD shall promptly notify Spansion of any breach of, or misuse or fraud in connection with, any Managed Agreements of which AMD becomes aware or should be aware assuming a reasonable inquiry, and shall cooperate with Spansion to prevent or stay any such breach, misuse or fraud. AMD shall monitor the activities of third parties who are party to Spansion Third Party Contracts and will enforce the provisions of such Spansion Third Party Contracts and resolve any disputes under such contracts.
Performance Under Agreements. Perform its obligations under this Agreement, each Loan Document and each other material indenture, agreement or other instrument to which it is a party; provided, however, that it shall not be required to so perform its obligations under any such other material indenture, agreement or other instrument to the extent it shall reasonably believe in good faith that such performance is not required and, if required by GAAP, appropriate reserves or accruals have been made with respect thereto.
Performance Under Agreements. Service Provider shall promptly notify Client of any breach of any Managed Agreements or Retained Agreements that is material to Client Group’s receipt of the Services and of which Service Provider becomes aware and shall cooperate with Client or Client Affiliates to prevent or stay any such material breach. Service Provider shall comply with all confidentiality and security requirements imposed on Client or Client Affiliates pursuant to any Managed Agreement or Retained Agreement of which Service Provider has prior notice as well as any other reasonable terms and conditions of which Service Provider has prior notice from Client or Client Affiliate.
Performance Under Agreements. The Company shall perform its obligations under this Agreement, each other Transaction Document, and each other contract to which it is a party; provided however, that the Company shall not be required to so perform its obligations under any contract (other than the Stock Purchase Agreement, the Merger Agreement, this Agreement and any other Transaction Document) to the extent it is reasonably contesting such obligations in good faith and in an appropriate manner and, if required by GAAP, it has made appropriate reserves and accruals with respect thereto.
Performance Under Agreements. IndyMac Bancorp covenants and agrees for the benefit of the Holders from time to time of the Securities that it will duly and punctually perform its obligations under the Warrant Agreement and the Trust Agreement in accordance with the terms thereof and this Agreement.

Fujitsu shall promptly notify Spansion of any breach of, or misuse or fraud in connection with, any Managed Agreements of which Fujitsu becomes aware or should be aware assuming a reasonable inquiry, and shall cooperate with Spansion to prevent or stay any such breach, misuse or fraud. Fujitsu shall monitor the activities of third parties who are party to Spansion Third Party Contracts and will enforce the provisions of such Spansion Third Party Contracts and resolve any disputes under such contracts.
Performance Under Agreements. KeySpan covenants and agrees for the benefit of the Holders from time to time of the Securities that it will duly and punctually perform its obligations under the Warrant Agreement and the Declaration in accordance with the terms thereof and this Agreement.
