The court with subject-matter jurisdiction over Rosenbauer shall be responsible for all legal disputes relating to this contract, including matters relating to its validity and its pre- and post-contractual effects. However, Rosenbauer shall be entitled to assert its claims before any other court with jurisdiction, particularly the court presiding in the district of the client's registered office. In all cases, the client is required to assert claims against Rosenbauer at the court that has subject-matter jurisdiction over Rosenbauer.
Place of Fulfillment and Jurisdiction. 10.1 If the company is a merchant in the sense of the German Commercial Code (Handelsgesetzbuch), a legal entity under public law or the representative of a public law special fund, then the place of fulfillment and jurisdiction for all obligations and claims resulting from the contractual relationship under the company package shall be Stuttgart. Any exclusive place of jurisdiction shall remain unaffected. Mesago is also entitled to assert claims at the court responsible for the registered office of the company.
