POSITION AND DUTIES AS OFFICER. During the Pre-Merger Period, the Key Executive shall serve as sole Chief Executive Officer of the Company. During the Initial Post-Merger Period, the Key Executive shall serve as President of the Company and, together with Charxxx X. Xxx, xx one of two-Co-Chief Executive Officers of the Company. During the Secondary Post-Merger Period, the Key Executive shall serve as sole Chief Executive Officer of the Company. During each such period, the Key Executive shall report solely to the Board, with such duties and responsibilities as are customarily assigned to his position, and such other duties and responsibilities not inconsistent therewith as may from time to time be assigned to him by the Board. During the Initial Post-Merger Period, the principal executive officers of Bell Xxxantic shall report jointly to the Key Executive and Mr. Xxx, in their capacity as Co-Chief Executive Officers, and during the Secondary Post-Merger Period, such executive officers shall report solely to the Key Executive, in his capacity as sole Chief Executive Officer.

  • Position and Duties (i) During the Employment Period, (A) the Executive's position (including status, offices, titles and reporting requirements), authority, duties and responsibilities shall be at least commensurate in all material respects with the most significant of those held, exercised and assigned at any time during the 120-day period immediately preceding the Effective Date and (B) the Executive's services shall be performed at the location where the Executive was employed immediately preceding the Effective Date or any office or location less than 35 miles from such location.

  • Positions and Duties As of the Effective Date, Executive shall be an employee of the Company, and serve as President and Chief Executive Officer of the Company. Executive will render such business and professional services in the performance of his duties, consistent with Executive’s position within the Company, as shall reasonably be assigned to him by the Company’s Board of Directors (“Board”).
