The Executive shall also hold such directorships and officerships in Company (the Corporation, the Partnership and any "Board of their subsidiaries to which, from time to time, the Executive may be elected or appointed during the term of this AgreementDirectors").

The Executive shall also hold such directorships and officerships in Bank (the Corporation, the Partnership and any "Board of their subsidiaries to which, from time to time, the Executive may be elected or appointed during the term of this AgreementDirectors").

Position and Responsibilities. 1.1 The Executive shall serve in an executive capacity will be employed as "President and Chief Operating Officer" of the Company and will perform the duties of President and Chief Operating Officer of both as described in the Corporation Company's Bylaws and the Partnership with duties consistent therewith and shall perform such other functions and undertake such other responsibilities executive duties for the Company and/or its subsidiaries as are customarily associated with such capacity, and shall report to the President and/or Chief Executive Officer Company's Board of the Corporation. Position and Responsibilities. 1.1 The (a) During the period of Executive’s employment under this Agreement, Executive agrees to serve as Executive Vice President and Chief Operations Officer of the Company and Bank. Executive shall serve in an executive capacity as Chief Operating Officer have responsibility for the general management and control of both the Corporation business and affairs of the Partnership with duties consistent therewith Company and its subsidiaries, including the Bank, and shall perform such other functions and undertake such other responsibilities as are customarily associated with such capacity, all duties and shall report have all powers which are commonly incident to the offices of Executive Vice President and/or and Chief Executive Operations Officer or which, consistent with those offices, are delegated to him by the Board of Directors of the Corporation. The Executive shall also hold such directorships Company and officerships in the Corporation, the Partnership and any of their subsidiaries to which, from time to time, the Executive may be elected or appointed during the term of this AgreementBank.
