Position Responsibilities and Duties. During the term of this Agreement, Employee shall serve as the Bank's President and Chief Executive Officer when the Bank commences operations. In such capacity, Employee shall have the same powers, duties and responsibilities of supervision and management of the Bank usually accorded to the President and Chief Executive Officer of similar financial institutions. In addition, Employee shall use his best efforts to perform the duties and responsibilities enumerated in this Agreement and any other duties assigned to Employee by the Board and to utilize and develop contacts and customers to enhance the business of the Bank. Specifically, Employee shall devote his full business time and attention and use his best efforts to accomplish and fulfill the following duties and responsibilities, as well as other duties assigned to Employee from time to time by the Board: (i) manage all personnel of the Bank; (ii) serve as a member of the Board of Directors, if and when elected to such a position; (iii) serve on such committees of the Board as appointed to from time to time; (iv) keep the Board informed of important developments concerning the Bank, industry developments and regulatory initiatives affecting the Bank; (v) maintain adequate expense records relating to Employee's activities on the Bank's behalf; (vi) improve the profitability of the Bank in accordance with the Annual Business Plan as prepared by management and adopted by the Board; (vii) coordinate with the Bank's attorneys and accountants and other service providers to the extent necessary to further the business of the Bank, keeping in compliance with government laws and regulations and otherwise keeping the Bank in as good a financial and legal posture as possible; and (viii) conduct and undertake all other activities, responsibilities, and duties normally expected to be undertaken and accomplished by the President and Chief Executive Officer of a financial institution similar in scope and operation to our business.

Position Responsibilities and Duties. During the term of this Agreement, Employee shall serve as the Bank=s President and Chief Executive Officer, through election by the Board. In such capacity, Employee shall have the same powers, duties and responsibilities of supervision and management of the Bank usually accorded to the President and Chief Executive Officer of similar financial institutions. Employee shall devote his full business time and attention and use his best efforts to accomplish and fulfill his duties and responsibilities as President and Chief Executive Officer including duties assigned to Employee from time to time by the Board. The duties which the Board has assigned to Employee at this time are set forth in the Employment Description Schedule attached hereto. This schedule may be modified by the Board or President from time to time provided the duties as modified are consistent with duties performed by the President and Chief Executive Officer of a similar financial institution. Employee shall, at all times, conduct himself in a manner that will reflect positively upon the Employer. Position Responsibilities and Duties. 4.1. Executive shall devote his full business time, energy, skills and attention to the performance of his duties and responsibilities hereunder and shall use his best efforts to perform faithfully and efficiently the duties and responsibilities contemplated by this Agreement. 4.2. Executive shall initially have the title and hold the position of President and Chief Executive Officer of the Company. Executive shall also serve, without additional compensation, as a director of the Company. 4.3. Executive shall initially perform the duties and shall have the responsibilities and authorities for the Company as are normally associated with the office of President and Chief Executive Officer for a corporation of the Company's size which is engaged in the type of business conducted by the Company. As President and Chief Executive Officer, Executive shall have general supervision over the business and affairs of the Company and its subsidiaries, shall report and be responsible to the Board of Directors of the Company, and shall have the powers and authority superior to those of any other officer or employee of the Company or any of its subsidiaries. However, the Board of Directors may, with Executive's participation, confer the title of Chief Executive Officer upon another person, without any diminution in the compensation or benefits payable to Executive hereunder, and after which time the Executive shall retain the title of President and shall share supervision over the business and affairs of the Company with the Chief Executive Officer in the manner decided by the Board of Directors. Executive shall perform such duties in consultation with the Company's Board of Directors and in accordance with the budget and plans approved by the Board of Directors of the Company. Initially, as President of the Company, the Executive shall, in consultation with and under the general direction of the Board of Directors, be responsible for preparing the budget for the Company and establishing the strategy and overall direction of the Company and for the implementation of the corporate plans and policies for the Company. Executive shall not be required to perform duties hereunder that would require him to relocate his residence.

During the Term of Employment, the Executive, as the Chief Executive Officer and President of the Company, shall be responsible, subject to the direction of the Board, for identifying acquisition opportunities for the Company and providing strategic guidance, leadership and direction to the management team of the Company and for such other duties and functions of a senior executive nature, commensurate with his title, responsibility and remuneration as may be directed from time to time by the Board. The Executive shall report solely to the Board. 4.2. During the Term of Employment, the Executive shall devote substantially all of his business time to the business and affairs of the Company and its Affiliates and shall use his best efforts, ability and fidelity to perform faithfully and efficiently his duties and responsibilities.
