Common use of Positions, Duties and Responsibilities Clause in Contracts

Positions, Duties and Responsibilities. (A) During the Term of Agreement, the Executive shall serve as Senior Vice President and Chief Financial Officer of the Company; shall have the authority, duties and responsibilities customarily exercised by an individual serving in those positions in a corporation of the size and nature of the Company; shall perform such duties relating to the management and operations of the Company, consistent with the foregoing, as may from time to time be assigned to him by the Chief Executive Officer of the Company (the “CEO”); shall be assigned no duties or responsibilities that are materially inconsistent with, or that materially impair his ability to discharge, the foregoing duties and responsibilities; and shall report solely and directly to the CEO. (B) During the Term of Agreement, Executive will (1) devote substantial and full-time attention and energies to the business of the Company, particularly to its financial function, and diligently perform all duties incident to his/her employment; (2) use his/her best efforts to promote the interests and goodwill of the Company; and (3) perform such duties commensurate with his office as Senior Vice President and Chief Financial Officer of the Company as may be assigned to him/her by the CEO.

(B) During the Term of Agreement, Executive will (1) devote substantial and full-time attention and energies to the business of the Company, particularly to its financial legal function, and diligently perform all duties incident to his/her his employment; (2) use his/her his best efforts to promote the interests and goodwill of the Company; and (3) perform such duties commensurate with his office as Senior Vice President and Chief Financial Officer General Counsel of the Company as may be assigned to him/her him by the CEO.

(B) During the Term of Agreement, Executive will (1) devote substantial and full-time attention and energies to the business of the Company, particularly to its financial functionhuman resources management, and diligently perform all duties incident to his/her employment; (2) use his/her best efforts to promote the interests and goodwill of the Company; and (3) perform such duties commensurate with his his/her office as Senior Vice President and Chief Financial Officer of the Company President, Human Resources as may be assigned to him/her by the CEO.

(A) During the Term of AgreementEmployment, the Executive shall serve as Senior Vice President and Chief Financial Information Officer of the Company; shall have the authority, duties and responsibilities customarily exercised by an individual serving in those positions in a corporation of the size and nature of the Company; shall perform such duties relating to the management and operations of the Company, consistent with the foregoing, as may from time to time be assigned to him him/her by the Chief Executive Officer of the Company (the “"CEO”"); shall be assigned no duties or responsibilities that are materially inconsistent with, or that materially impair his his/her ability to discharge, the foregoing duties and responsibilities; and shall report solely and directly to the CEO. (B) During the Term of AgreementEmployment, Executive will (1) devote substantial and full-time attention and energies to the business of the Company, particularly to its financial information technology function, and diligently perform all duties incident to his/her employment; (2) use his/her best efforts to promote the interests and goodwill of the Company; and (3) perform such duties commensurate with his office as Senior Vice President and Chief Financial Officer of the Company as may be assigned to him/her by the CEO.;

(A) During the Term of Agreement, the Executive shall serve as Senior Vice President and Chief Financial Officer of the CompanyPresident, IKON North America; shall have the authority, duties and responsibilities customarily exercised by an individual serving in those positions in a corporation of the size and nature of the Company; shall perform such duties relating to the management and operations of the Company, consistent with the foregoing, as may from time to time be assigned to him him/her by the Chief Executive Officer of the Company (the “"CEO”"); shall be assigned no duties or responsibilities that are materially inconsistent with, or that materially impair his his/her ability to discharge, the foregoing duties and responsibilities; and shall report solely and directly to the CEO. (B) During the Term of Agreement, Executive will (1) devote substantial and full-time attention and energies to the business of the Company, particularly to its financial functionmanagement of IKON North America, and diligently perform all duties incident to his/her employment; (2) use his/her best efforts to promote the interests and goodwill of the Company; and (3) perform such duties commensurate with his his/her office as Senior Vice President and Chief Financial Officer of the Company President, IKON North America as may be assigned to him/her by the CEO.
