Common use of Positions Clause in Contracts

Positions. The Executive shall be employed as the Executive Vice President, Chief Financial Officer and Secretary of the Company and the Executive Vice President, Chief Financial Officer and Secretary of the Bank and shall perform and discharge faithfully the duties and responsibilities which may be assigned to the Executive from time to time in connection with the conduct of the businesses. The duties and responsibilities of the Executive shall be commensurate with similar positions at other publicly-traded community bank holding companies and community banks. The Executive shall report directly to the Chief Executive Officer of the Company and the Bank (the “Chief Executive Officer”).

Positions. The Executive shall be employed as the Executive Vice President, President and Chief Financial Credit Officer and Secretary of the Company and the Executive Vice President, Chief Financial Officer and Secretary of the Bank and shall perform and discharge faithfully the duties and responsibilities which may be assigned to the Executive from time to time in connection with the conduct of the businesses. The duties and responsibilities of the Executive shall be commensurate with similar positions at other publicly-traded community bank holding companies and community banks. The Executive shall report directly to the Chief Executive Officer of the Company and the Bank (the “Chief Executive Officer”).

Positions. The Executive shall be employed as the Executive Vice President, President and Chief Financial Administrative Officer and Secretary of the Company and the Executive Vice President, President and Chief Financial Administrative Officer and Secretary of the Bank and shall perform and discharge faithfully the duties and responsibilities which may be assigned to the Executive from time to time in connection with the conduct of the businesses. The duties and responsibilities of the Executive shall be commensurate with similar positions at other publicly-traded community bank holding companies and community banks. The Executive shall report directly to the Chief Executive Officer of the Company and the Bank (the “Chief Executive Officer”).

The Executive shall be employed as the Executive General Counsel, Vice President, Chief Financial Officer President and Secretary of the Company and the Executive Vice President, Chief Financial Officer and Secretary of the Bank and shall perform and discharge faithfully the duties and responsibilities which may be assigned to the Executive from time to time in connection with the conduct of the businessesCompany's business (including the businesses of the Company's subsidiaries and equity affiliates) by the Company's Chief Executive Officer or Board of Directors or its designee. The duties and responsibilities of the Executive shall be commensurate with similar positions at other publicly-traded community bank holding companies and community bankscompanies. The Executive shall report directly to the Chief Executive Officer of the Company and the Bank (the “Chief Executive Officer”).

The Executive shall be employed as the Executive Senior Vice President, President and Chief Financial Officer and Secretary of the Company and the Executive Vice President, Chief Financial Officer and Secretary Risk Manager of the Bank and the Company and, subject to the direction of the Chief Executive Officer and the Board of Directors, shall perform and discharge faithfully the duties and responsibilities which reasonably may be assigned to the Executive from time to time in connection with the conduct of the businesses. The duties and responsibilities of the Executive shall be commensurate with similar positions at other publicly-traded community bank holding companies and community banksbanks of a similar size to the Bank. The Executive shall report directly to the Chief Executive Officer of the Company Bank and the Bank (the “Chief Executive Officer”)Company.

The duties and responsibilities of the Executive shall be commensurate with similar positions at other publicly-traded community bank holding companies and community banksbanks of a similar size to the Bank. The Executive shall report directly to the Chief Executive Officer of the Company and the Bank (the “Chief Executive Officer”)Bank.

The Company shall employ Executive, and Executive shall be employed serve, as the Company’s Executive Vice President, President and Chief Financial Officer Officer, and Secretary Executive shall have customary powers, responsibilities, authorities and reporting relationships of the Company such position, and the Executive Vice Presidentsuch other powers, Chief Financial Officer responsibilities and Secretary of the Bank and shall perform and discharge faithfully the duties and responsibilities which authorities, as may be assigned to the Executive specified from time to time in connection with by the conduct Company’s Board of the businesses. The Executive shall report directly to the Chief Executive Officer of the Company and the Bank Directors (the “Board”) or Chief Executive Officer”).

The Executive shall be employed as the Executive a Group Vice President, President and Chief Financial Officer and Secretary of the Company and the Executive Vice President, Chief Financial Officer and Secretary of the Bank and, subject to the direction of the President and Chief Operating Officer, shall perform and discharge faithfully the duties and responsibilities which reasonably may be assigned to the Executive from time to time in connection with the conduct of the businesses. The duties and responsibilities of the Executive shall be commensurate with similar positions at other publicly-traded community bank holding companies and community banksbanks of a similar size to the Bank. The Executive shall report directly to the President and Chief Executive Operating Officer of the Company and the Bank (the “Chief Executive Officer”)Bank.

Executive Vice President, Chief Financial Officer and Secretary of the Bank and shall perform all duties consistent with these positions and discharge faithfully the such duties and responsibilities which may as shall be assigned to the Executive reasonably prescribed from time to time in connection with by the conduct Chief Executive Officer or the Board of Directors of Employer (the businesses"Board"). The duties and responsibilities of the Executive shall be commensurate with similar positions at other publicly-traded community bank holding companies and community banks. The Executive shall report directly to the Chief Executive Officer of the Company Employer and the Bank (Chairman of the “Chief Executive Officer”)Board.

The duties and responsibilities of the Executive shall be commensurate with similar positions at other publicly-traded community bank holding companies and community banks. The Executive shall report directly to the Chief Executive Officer of the Company and the Bank (the “Chief Executive Officer”)Company.
