Post-Completion determination. 4.2.1 The Purchaser shall within 40 (forty) Business Days after the Completion Date provide the Seller with a written statement setting out the Current Assets and Liabilities at Completion calculated in conformity with the Accounting Principles (the Completion Statement) and the underlying calculations. 4.2.2 The Completion Statement shall be binding on the Parties, unless the Seller notifies the Purchaser within 20 (twenty) Business Days after receipt thereof that it disputes the Completion Statement, specifying the items of the Completion Statement it disputes and the basis upon which it disputes such items, including the adjustments it reasonably believes should be made to the Current Assets and/or Liabilities and the basis therefor, providing sufficient detail so as to enable the Purchaser to assess the proposed adjustments (the Completion Statement Disagreement Notice). 4.2.3 Following receipt of the Completion Statement Disagreement Notice in accordance with Clause 4.2.2, the Parties shall, in good faith, attempt to reach agreement on all disputed items within 20 (twenty) Business Days after such notification, failing which the items still in dispute shall be resolved, and the Current Assets and Liabilities at Completion shall be finally determined, by an independent expert (the Independent Expert) who shall be appointed and instructed by the Parties in accordance with Schedule 8.

Post-Completion determination. 5.2.1 The Seller shall provide the Purchaser with the following documents within 60 (sixty) Business Days after the Completion Date: (a) an unaudited balance sheet and income statement of the Company reflecting the financial position of the Company at Completion and financial performance for the period then ended as if Completion was the end of an accounting reference period of the Company, prepared in conformity with the Accounting Principles, accompanied by the relevant working papers; and (b) a written statement setting out the Cash, Loans and Working Capital at Completion (the 5.2.2 The Completion Statement shall be binding on the Parties, unless the Purchaser notifies the Seller within 30 (thirty) Business Days after receipt thereof that it disputes the Completion Statement, specifying the items of the Completion Statement it disputes and the basis upon which it disputes such items, including the adjustments it reasonably believes should be made to the Cash, Loans and/or Working Capital and the basis thereof, providing reasonably sufficient detail to enable the Seller to assess the proposed adjustments (the Purchaser Disagreement Notice). 5.2.3 Following receipt of the Purchaser Disagreement Notice in accordance with Clause 5.2.2, the Parties shall, in good faith, attempt to reach agreement on all disputed items within 35 (thirty) Business Days after such notification, failing which the items still in dispute shall be resolved, and the Cash, Loans and Working Capital at Completion shall be finally determined, by an independent expert (the Independent Expert) who shall be appointed and instructed by the Parties in accordance with Schedule 5.2.3.

  • PRICE ESCALATION/DE-ESCALATION (CPI) The County may allow a price escalation provision within this award. The original contract prices shall be firm for an initial one (1) year period. A price escalation/de-escalation will be considered at one (1) year intervals thereafter, provided the Contractor notifies the County, in writing, of the pending price escalation/de-escalation a minimum of sixty (60) days prior to the effective date. Price adjustments shall be based on the latest version of the Consumers Price Index (CPI-U) for All Urban Consumers, All Items, U.S. City Average, non-seasonal, as published by the U.S. Department of Labor, Bureau of Labor Statistics. This information is available at xxx.xxx.xxx. Price adjustment shall be calculated by applying the simple percentage model to the CPI data. This method is defined as subtracting the base period index value (at the time of initial award) from the index value at time of calculation (latest version of the CPI published as of the date of request for price adjustment), divided by the base period index value to identify percentage of change, then multiplying the percentage of change by 100 to identify the percentage change. Formula is as follows: Current Index – Base Index / Base Index = % of Change CPI for current period 232.945 Less CPI for base period 229.815 Equals index point change 3.130 Divided by base period CPI 229.815 Equals 0.0136 Result multiplied by 100 0.0136 x 100 Equals percent change 1.4% % of Change x 100 = Percentage Change CPI-U Calculation Example: A price increase may be requested only at each time interval specified above, using the methodology outlined in this section. To request a price increase, Contractor shall submit a letter stating the percentage amount of the requested increase and adjusted price to the Orange County Procurement Division. The letter shall include the complete calculation utilizing the formula above, and a copy of the CPI-U index table used in the calculation. The maximum allowable increase shall not exceed 4%, unless authorized by the Manager, Procurement Division. All price adjustments must be accepted by the Manager, Procurement Division and shall be memorialized by written amendment to this contract. No retroactive contract price adjustments will be allowed. Should the CPI-U for All Urban Consumers, All Items, U.S City Average, as published by the U.S. Department of Labor, Bureau of Labor Statistics decrease during the term of the contract, or any renewals, the Contractor shall notify the Orange County Procurement Division of price decreases in the method outlined above. If approved, the price adjustment shall become effective on the contract renewal date. If the Contractor fails to pass the decrease on to the County, the County reserves the right to place the Contractor in default, cancel the award, and remove the Contractor from the County Vendor List for a period of time deemed suitable by the County. In the event of this occurrence, the County further reserves the right to utilize any options as stated herein.

  • Termination Date Determination Seller will not designate the Termination Date (as defined in the Receivables Sale Agreement), or send any written notice to Originator in respect thereof, without the prior written consent of the Agent, except with respect to the occurrence of such Termination Date arising pursuant to Section 5.1(d) of the Receivables Sale Agreement.

  • Project Completion Date It is agreed between the Parties that the Project Completion Date is <END DATE, YEAR>. If the Project is not completed by such date then, subject to an amendment agreed to between the Parties, Alberta Innovates may elect to terminate this Investment Agreement. In such event, Alberta Innovates will notify the Applicant of its decision to terminate as soon as reasonably practical and shall advise the Applicant of the effective date of termination. Alberta Innovates will have no liability or obligation to reimburse the Applicant for any Project Costs incurred after the effective date of termination and may require the Applicant to return any portions of the Investment which were spent on Ineligible Expenses. Additionally, any portion of the Investment not used and accounted for in accordance with this Agreement as of the Project Completion Date or earlier termination is repayable by the Applicant to AI at AI’s request.

  • Substantial Completion Date Substantial Completion of the Work as defined in Article 6.1.2 of the General Conditions to the Continuing Contract for Construction Management shall be achieved by July 31, 2022.

  • INDEPENDENT PRICE DETERMINATION 6.1 By signing and submitting this bid, the Bidder certifies that the prices in this bid have been arrived at independently, without consultation, communication or agreement, for the purpose of restricting competition, as to any matter relating to such prices with any other Bidder or with any competitor; unless otherwise required by law, the prices which have been quoted in this bid have not been knowingly disclosed by the Bidder prior to bid opening directly or indirectly to any other Bidder or to any competitor; no attempt has been made, or will be made, by the Bidder to induce any person or firm to submit, or not to submit, a bid for the purpose of restricting competition.

  • Expert Determination If a Dispute relates to any aspect of the technology underlying the provision of the Goods and/or Services or otherwise relates to a financial technical or other aspect of a technical nature (as the Parties may agree) and the Dispute has not been resolved by discussion or mediation, then either Party may request (which request will not be unreasonably withheld or delayed) by written notice to the other that the Dispute is referred to an Expert for determination. The Expert shall be appointed by agreement in writing between the Parties, but in the event of a failure to agree within ten (10) Working Days, or if the person appointed is unable or unwilling to act, the Expert shall be appointed on the instructions of the relevant professional body. The Expert shall act on the following basis: he/she shall act as an expert and not as an arbitrator and shall act fairly and impartially; the Expert's determination shall (in the absence of a material failure to follow the agreed procedures) be final and binding on the Parties; the Expert shall decide the procedure to be followed in the determination and shall be requested to make his/her determination within thirty (30) Working Days of his appointment or as soon as reasonably practicable thereafter and the Parties shall assist and provide the documentation that the Expert requires for the purpose of the determination; any amount payable by one Party to another as a result of the Expert's determination shall be due and payable within twenty (20) Working Days of the Expert's determination being notified to the Parties; the process shall be conducted in private and shall be confidential; and the Expert shall determine how and by whom the costs of the determination, including his/her fees and expenses, are to be paid.

In the event of any insured damage or destruction, Redeveloper agrees to use its good faith efforts to commence restoration of the Private Improvements to its prior condition within nine (9) months from the date of the damage or destruction, and shall diligently pursue the same to completion.
