Prepayments, Prebilled Invoices and Deposits. (a) Section 2.26(a) of the Disclosure Schedule sets forth (i) all prepayments, prebilled invoices and deposits that have been received by the Company or any Subsidiary as of the date hereof from customers for products to be shipped, or services to be performed, after the Closing Date, and (ii) with respect to each such prepayment, prebilled invoice or deposit, (A) the party and contract credited, (B) the date received or invoiced, (C) the products and/or services to be delivered, and (D) the conditions for the return of such prepayment, prebilled invoice or deposit. All such prepayments, prebilled invoices and deposits are properly accrued for on the Most Recent Balance Sheet in accordance with GAAP applied on a consistent basis with the past practice of the Company and the Subsidiaries.
(b) Section 2.26(b) of the Disclosure Schedule sets forth (i) all prepayments, prebilled invoices and deposits that have been made or paid by the Company or any Subsidiary as of the date hereof to vendors or suppliers for products to be shipped, or services to be performed, after the Closing Date, and (ii) with respect to each such prepayment, prebilled invoice or deposit, (A) the party to whom such prepayment, prebilled invoice or deposit was made or paid, (B) the date made or paid, (C) the products and/or services to be delivered, and (D) the conditions for the return of such prepayment, prebilled invoice or deposit. All such prepayments, prebilled invoices and deposits are properly accrued for on the Most Recent Balance Sheet in accordance with GAAP applied on a consistent basis with the past practices of the Company.

Schedule 2.25(a) sets forth all prepayments, prebilled invoices and deposits that have been received by the Subsidiary as of the date hereof from customers for products to be shipped, or services to be performed, after the Closing. All such prepayments, prebilled invoices and deposits are properly accrued for, or will be properly accrued for, on the Subsidiary’s Financial Statements in accordance with GAAP applied on a consistent basis. Schedule 2.25(b) sets forth all prepayments, prebilled invoices and deposits that have been made or paid by the Subsidiary as of the date hereof to vendors or suppliers for products to be shipped, or services to be performed, after the Closing. All such prepayments, prebilled invoices and deposits are properly accrued for, or will be properly accrued for, on the Subsidiary’s Financial Statements in accordance with GAAP applied on a consistent basis.

Section 3.27 of the Company Disclosure Schedule lists in reasonable detail all prepayments, prebilled invoices and deposits that individually involve an amount or value in excess of $100,000 that have been received by the Company or paid by the Company as of the Interim Balance Sheet Date relating to any licenses, goods or services sold or purchased by the Company. All such prepayments, prebilled invoices and deposits have been properly accrued in the Financial Statements in accordance with GAAP applied on a consistent basis with the past practices of the Company.
Prepayments, Prebilled Invoices and Deposits. (a) Section 5.20.(a) of the Disclosure Schedule sets forth, as of July 31, 2019 (i) all prepayments, prebilled invoices and deposits that have been received by the Company from customers for products or services to be performed, after such date, and (ii) with respect to each such prepayment, prebilled invoice or deposit, (A) the party and contract credited, (B) the date received or invoiced, (C) the products and/or services to be delivered and (D) the conditions for the return of such prepayment, prebilled invoice or deposit. All such prepayments, prebilled invoices and deposits for the Company, to the extent that they were received prior to December 31, 2018, are properly accrued for on the applicable Financial Statements.
Prepayments, Prebilled Invoices and Deposits. Schedule 2.4(c) sets forth all prepayments, prebilled invoices and deposits that have been received by the Seller as of the Effective Date from customers for products to be shipped, or services to be performed, after the Closing. All such prepayments, prebilled invoices and deposits are properly accounted for on the Financial Information balance sheet of the Seller in accordance with past practices consistently applied. Schedule 2.3(c) sets forth all prepayments, prebilled invoices and deposits that have been made or paid by the Seller as of the Effective Date to vendors or suppliers for products to be shipped, or services to be performed, after the Closing. All such prepayments, prebilled invoices and deposits are properly accounted for on the Seller’s Financial Statements in accordance with past practices consistently applied.

(b) All material prepayments, prebilled invoices and deposits that have been made or paid by the Company and its Subsidiaries as of the date of this Agreement for products to be purchased, services to be performed or other benefits to be received after the Closing Date are accrued for on the Most Recent Balance Sheet in accordance with GAAP applied on a consistent basis with the application thereof to the most recent audited financial statements included in the Company Financial Statements (to the extent consistent with GAAP).
Prepayments, Prebilled Invoices and Deposits. Schedule 3.22A sets forth all prepayments, prebilled invoices, and deposits that have been received by ICR International as of the date hereof from customers for products to be shipped, or services to be performed, after the Closing. Consistent with past practices, such amounts are not accrued for on the balance sheets included in ICR International’s Financial Statements. Schedule 3.22B sets forth all prepayments, prebilled invoices, and deposits that have been made or paid by ICR International as of the date hereof to vendors or suppliers for products to be shipped, or services to be performed, after the Closing. Consistent with past practices, such amounts are not accrued for on the balance sheets included in ICR International’s Financial Statements.
Prepayments, Prebilled Invoices and Deposits. (i) All prepayments, prebilled invoices and deposits that have been received by the Representing Party and its Subsidiaries as of the date of this Agreement (the “Execution Date”) from customers for products to be shipped, or services to be performed, after the Closing Date are properly accrued for on the on the latest balance sheet of the Representing Party in the Company Financial Statements, in the case of the Company, and in the Parent SEC Reports, in the case of Parent.
(ii) All prepayments, prebilled invoices and deposits that have been made or paid by the Representing Party and its Subsidiaries as of the Execution Date for products to be purchased, services to be performed or other benefits to be received after the Closing Date are properly accrued for on the latest balance sheet in the Company Financial Statements, in the case of the Company, and in the Parent SEC Reports, in the case of Parent.
Prepayments, Prebilled Invoices and Deposits. Section 3.24 of the Company Disclosure Schedule sets forth (i) all prepayments, prebilled invoices and deposits that have been invoiced by the Company and the Subsidiaries as of June 30, 2020 from customers for products to be delivered, or services to be performed, after June 30, 2020, and (ii) with respect to each such prepayment, prebilled invoice or deposit described in clause (i) above, (A) the party credited, and (B) the products and/or services to be delivered. All such prepayments, prebilled invoices and deposits described in clause (i) above are properly accrued for on the Most Recent Balance Sheet in accordance with the Accounting Principles.
