PRINTRAK'S AND MERGER SUB'S REPRESENTATIONS AND WARRANTIES TRUE AT CLOSING. TFP shall not have discovered any material error, misstatement or omission in the representations and warranties made by Printrak and Merger Sub in Section 5 hereof; the representations and warranties made by Printrak and Merger Sub herein shall be deemed to have been made again at and as of the time of Closing and shall then be true in all material respects; Printrak and Merger Sub shall have performed and complied with all agreements and conditions required by this Agreement to be performed by them at or prior to the Closing; and TFP shall have received a certificate, dated the Closing Date, of the President or a Vice President of each of Printrak and Merger Sub to the effect set forth in this Section 8.1.

Licensor shall furnish Licensee with all necessary information regarding the title, composer, publisher, recording artist and master owner of such music.
