Procedures for Committee Meetings. Meetings of each committee shall be held in accordance with the following procedures: (a) Meetings of each committee shall be held no less often than every six months and at such places and in any such manner as the members of such committee may from time to time decide. (b) The quorum of the meeting of a committee shall be two members, and decisions shall be passed by simple majority. (c) A resolution in writing circulated to all the members of a committee or their representatives and signed by all of the members or their representatives shall be as valid and effectual as if it had been passed at a duly held meeting of the committee. For such purposes, a signature sent by facsimile, or by email using a PDF file or some other similar electronic imaging software, shall be deemed a written signature.
