Common use of PRODUCT ENGINEERING SUPPORT Clause in Contracts

PRODUCT ENGINEERING SUPPORT. 13.1 The Parties will cooperate in allowing Xxxxxxxxx employees to have reasonable access to the Facility during the term of this Agreement (the "Xxxxxxxxx Engineering Team"), in order to assist in Product developments and improvements. National will provide reasonable office space to the Xxxxxxxxx Engineering Team, if required on a temporary basis, not to exceed sixty (60) days per occurrence, at no expense to Xxxxxxxxx. Should the Xxxxxxxxx Engineering Team require long term, dedicated office space, Xxxxxxxxx agrees to pay National the overhead cost associated with such space. The Xxxxxxxxx Engineering Team will comply with all applicable National regulations in force at the Facility and Xxxxxxxxx hereby agrees to hold National harmless for any damages or liability caused by any member of the Xxxxxxxxx Engineering Team, which are attributable to: (i) the negligence or willful malfeasance of such member, and (ii) any failure by such member to comply with National's regulations in force at the Facility or with applicable law.
