Common use of Program Administration Clause in Contracts

Program Administration. Company shall designate in writing to Bank a Program Administrator to actively manage the Account on Company’s behalf. If not specifically designated by Company, the Program Administrator shall be the first Authorized Officer listed in the signature block of the Application. Company agrees and acknowledges that such Program Administrator is duly authorized by Company to act on Company’s behalf with respect to the Account, and that Bank may rely on all directions and information Bank receives from the Program Administrator regarding the Account, including issuance of Commercial Cards to employees of Company. The Program Administrator’s responsibilities shall include: (a) Conducting maintenance on the Account; (b) Collecting Commercial Card request forms, ensuring proper authorization of Commercial Cardholders, and facilitating new Commercial Card orders; (c) Communicating Company policy to all Commercial Cardholders that restricts the use of the Commercial Card to business purposes only; (d) Accessing and monitoring spending reports for the Account; (e) Regularly auditing Company’s expense management program to ensure compliance with Company policies; (f) Maintaining appropriate internal Company forms, policies, procedures, approved and prohibited usage guidelines, web site details and training materials for the Account consistent with this Agreement, the Commercial Cardholder Agreements and the other terms and conditions governing the Account; (g) Maintaining hierarchical approval of all Purchases; (h) Being familiar with all aspects of the Account and each Commercial Card; (i) Handling all Company and Commercial Cardholder inquiries and billing disputes, credit line increase requests, and other requests and notices under this Agreement; (j) Upon request, providing Bank with such information and documentation as Bank may deem necessary to protect Bank’s interests; (k) Promptly advising Bank of any termination of any Commercial Cardholder employment relationships with Company and, upon such termination, collect and destroy the associated Commercial Card; and (l) Immediately notifying Bank by phone and in writing of any reported or suspected unauthorized use of or access to any Commercial Card or the Account.

The terms of the Regulatory Agreement and Declaration of Restrictive Covenants, as such may be amended from time to time, shall be incorporated herein as of the date the agreement is recorded and as of the date of any amendment thereto is recorded, as applicable. Owner shall be responsible to provide to Agent any amendments to the Regulatory Agreement and Declaration of Restrictive Covenants prior to such taking effect. (b) Collecting Commercial Card request formsOwner, ensuring proper authorization through Coordinated Entry Service ("CES") the COVID Taskforce, or an alternative County referral process, will have the sole responsibility to identify eligible prospective program participants and the responsibility of Commercial Cardholders, implementing the initial program participant eligibility screening and facilitating new Commercial Card ordersshall refer such persons or households to Agent. Agent shall then: (1) coordinate with the case manager to process the prospective program participants documentation; (2) conduct a criminal background check and income verification; (3) consult and collaborate with the prospective program participants case manager to select a unit; (4) provide program participation orientation; (5) process and collect "Program Participant Agreement" from each approved program participant as a condition to reside in one of the Units (which shall be in a form agreed to by the Owner and Agent); and (6) provide ongoing site and property management services to program participants. (c) Communicating Company policy Agent shall use reasonable and diligent efforts to keep the Property occupied by notifying Owner of potential vacancy by program participants. Agent is authorized to negotiate, prepare, and execute all Commercial Cardholders that restricts Program Participant Agreements, including all renewals and extensions of Program Participant Agreements, and to cancel and modify existing Program Participant Agreements. Agent shall execute all Program Participant Agreements on behalf of Owner. All Program Participant Agreements shall be on a standard form Program Participant Agreement provided by Owner and agreed to by the use Owner and the Agent. Neither Party shall materially modify the approved form Program Participant Agreement without the prior written approval of the Commercial Card to business purposes only;Other Party. (d) Accessing If and monitoring spending reports for to the Account; (e) Regularly auditing Company’s expense management program extent there are units available and there are insufficient CES referrals to ensure compliance with Company policies; (f) Maintaining appropriate internal Company forms, policies, procedures, approved and prohibited usage guidelines, web site details and training materials for occupy all of the Account consistent with this Agreementunits, the Commercial Cardholder Agreements and Agent can advertise the other terms and conditions governing Property if authorized by the Account; (g) Maintaining hierarchical approval of all Purchases; (h) Being familiar with all aspects of the Account and each Commercial Card; (i) Handling all Company and Commercial Cardholder inquiries and billing disputes, credit line increase requests, and other requests and notices under this Agreement; (j) Upon request, providing Bank with such information and documentation as Bank may deem necessary to protect Bank’s interests; (k) Promptly advising Bank of any termination of any Commercial Cardholder employment relationships with Company and, upon such termination, collect and destroy the associated Commercial Card; and (l) Immediately notifying Bank by phone and in writing of any reported or suspected unauthorized use of or access to any Commercial Card or the AccountOwner.
