Prohibition Against Transfer of Project and Assignment of Agreement. The Developer represents and agrees that prior to the Termination Date, except as otherwise permitted herein, the Developer shall not transfer the Project or any part thereof, without the prior written approval of the EDA, which approval shall not be unreasonably condition or delayed, as long as the following conditions are met to the EDA’s reasonable satisfaction: (1) Any proposed transferee has the qualifications and financial responsibility, necessary and adequate to fulfill the obligations undertaken in this Agreement by the Developer; (2) Any proposed transferee, by instrument in writing satisfactory to the EDA shall, for itself and its successors and assigns, and expressly for the benefit of the EDA, have expressly assumed all of the obligations of the Developer under this Agreement and agreed to be subject to all the conditions and restrictions to which the Developer is subject; and (3) There is submitted to the EDA for review and prior written approval all instruments and other legal documents involved in effecting the transfer of any interest in this Agreement or the Project.

Prohibition Against Transfer of Project and Assignment of Agreement. The Developer represents and agrees that prior to the Termination Date the Developer shall not transfer this Agreement, the Tax Abatement Note, or the Development Property or the Project or any part thereof or any interest therein, except to an Affiliate, with written notice to the City Administrator, and to tenants in the ordinary course, without the prior written approval of the City Administrator, or their designee, which approval shall not be unreasonably withheld, conditioned or delayed. The City Administrator, or their designee, shall be entitled to require as conditions to any such approval that: (1) Any proposed transferee, by instrument in writing satisfactory to the City Administrator, or their designee, shall, for itself and its successors and assigns, and expressly for the benefit of the City, have expressly assumed all of the obligations of the Developer under this Agreement and agreed to be subject to all the conditions and restrictions to which the Developer is subject. (2) There shall be submitted to the City Administrator, or their designee, for review and prior written approval the legal document(s) evidencing the transfer of any interest in this Agreement or the Project. (3) Any proposed transferee of the Tax Abatement Note shall execute and deliver to the City an acknowledgment demonstrating that such transfer is exempt from registration and prospectus delivery requirements of federal and applicable state securities laws and the transferee understands the limited source of payment of the Tax Abatement Note, in a form satisfactory to the City Administrator, or their designee. (4) The Developer shall have paid all reasonable legal fees and expenses of the City, including fees of the City Attorney’s office and outside counsel retained by the City to review the documents submitted to the City in connection with any transfer. If the City Administrator, or their designee, rejects the request for approval of an assignment as inadequate, they will do so in writing specifying the basis for the rejection. Notwithstanding the foregoing, the Developer may elect to transfer the Development Property without the consent of the City and the sole remedy exercised by the City upon such an Event of Default is that the City may terminate this Agreement and the Abatement Note. In the event the foregoing conditions are satisfied, then the Developer will be released from its obligations under this Agreement.

Any attempted sale, transfer, anticipation, assignment, hypothecation, or alienation not in accordance with this Section 6 shall be void and of no effect. Until such time, if any, as Principal Life has consented in writing to a proposed assignment, Principal Life shall not be obligated to make any payments to or at the direction of anyone other than the person shown on Principal Life’s books and records as the Agreement Holder. Once the foregoing conditions have been satisfied with respect to an assignment, the assignee or its successor shall be deemed to be the sole Agreement Holder for all purposes of this Agreement and Principal Life shall promptly amend its records to reflect the assignee’s status as Agreement Holder.

  • Alienability and Assignment Prohibition Neither the Executive, nor the Executive's surviving spouse, nor any other beneficiary(ies) under this Executive Plan shall have any power or right to transfer, assign, anticipate, hypothecate, mortgage, commute, modify or otherwise encumber in advance any of the benefits payable hereunder nor shall any of said benefits be subject to seizure for the payment of any debts, judgments, alimony or separate maintenance owed by the Executive or the Executive's beneficiary(ies), nor be transferable by operation of law in the event of bankruptcy, insolvency or otherwise.
